PRODUCT SERVICE RIDER

This Product Service Rider (the Rider) is made effective as of Effective Date: by and between Client Name: and Provider Name: .

RECITALS

WHEREAS, the parties have entered into a written agreement governing the provision of products and services dated Agreement Date: (the Agreement); and

WHEREAS, the parties desire to supplement and modify the Agreement as set forth in this Rider to define the specific product deliverables, service obligations, payment schedule, and other terms applicable to the Product and Services described below.

SCOPE OF WORK

Deliverables shall include the design, manufacture, testing and delivery of the products and provision of services described above in accordance with the specifications and acceptance criteria set forth in the Scope of Work. Provider shall perform services in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

Payments are due in accordance with the schedule above. Unpaid amounts shall accrue interest at the rate specified in the Late Payment Fee field and the non-paying party shall be responsible for reasonable collection costs and attorneys' fees. All fees are exclusive of applicable taxes; the Client is responsible for any sales, use, value added or similar taxes unless Provider is required to collect and remit such taxes.

TERM AND TERMINATION

This Rider commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Rider.

Either party may terminate this Rider for material breach by the other party if such breach is not cured within the notice period specified above. Termination does not relieve the Client of payment obligations for services performed and deliverables delivered through the effective date of termination.

CONFIDENTIALITY

Each party (the Recipient) shall hold in confidence and not disclose to any third party any Confidential Information of the other party (the Discloser). Confidential Information includes non-public business information, technical data, pricing, customer lists and any other information designated as confidential or that reasonably should be understood to be confidential. The Recipient shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Confidentiality Acknowledgement: By checking this box, the signing party acknowledges and agrees to be bound by the confidentiality obligations set forth herein.

GOVERNING LAW

This Rider shall be governed by and construed in accordance with the laws of the state specified above, without regard to its conflict of laws rules.

ENTIRE AGREEMENT

This Rider, together with the Agreement and any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings. Any modification to this Rider must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its obligations under this Rider without the prior written consent of the other party, except to an affiliate or successor in connection with a merger or sale of substantially all assets.

Severability: If any provision of this Rider is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
