WHEREAS, Client: wishes to obtain shelf life determination, stability testing, and associated reporting for specified products identified below; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, the parties agree as follows:

Scope of Work

The Scope of Work shall include, without limitation, analytical method validation where required, stability testing under specified conditions, sampling plan, data analysis, and the delivery of a written stability report including recommended shelf life and required storage conditions. All testing methods to be used shall be documented in the testing protocol and available to Client upon request.

Late Payment: A late fee of will be assessed on overdue invoices, plus any collection costs and interest to the extent permitted by law. All amounts are payable in the currency agreed and are exclusive of applicable taxes unless otherwise indicated.

Either party may terminate this Agreement for convenience upon written notice to the other party. Confidential Information shall not include information that is or becomes publicly available through no breach of this Agreement, is rightfully received from a third party without restriction, or is independently developed by the receiving party.

The parties acknowledge that monetary damages may be insufficient to remedy breach of confidentiality and agree that injunctive relief shall be an available remedy in addition to all other remedies at law or in equity.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to its conflicts of law principles. Each party irrevocably submits to the exclusive jurisdiction of the courts located in that jurisdiction for any disputes arising out of this Agreement.

Entire Agreement

This Agreement, including all exhibits, attachments, and incorporated documents, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, representations, warranties, and agreements, whether written or oral.
