PRODUCTION DOCUMENT PACKAGE

This Production Document Package (the "Agreement") is entered into effective as of by and between Client Name: and Producer Name: .

RECITALS

WHEREAS, Client desires to obtain production documents and related pre-production deliverables for the project titled (the "Project"); and

WHEREAS, Producer represents that it has the expertise, personnel and resources to prepare production materials including but not limited to scripts, budgets, shooting schedules, call sheets, technical breakdowns and vendor instructions (collectively, the "Production Documents"); and

WHEREAS, the parties desire to set forth the scope, payment, confidentiality and other terms governing preparation and delivery of the Production Documents.

SCOPE OF WORK

PAYMENT TERMS

Client shall pay Producer the Total Fee of USD, payable as follows.

Invoices are due and payable within days of receipt. Late payments shall accrue interest at the rate of % per month (or the maximum permitted by law), plus reasonable collection costs.

Either party may terminate this Agreement for material breach by the other party upon written notice and failure to cure within days. Either party may terminate without cause upon days' prior written notice.

Upon termination, Client shall pay Producer for all services performed and reimbursable expenses incurred through the effective date of termination, and Producer shall deliver to Client all completed and partially completed Production Documents in Producer's possession. Producer shall, upon request and receipt of payment for production work performed, transfer editable versions of deliverables as agreed in writing.

CONFIDENTIALITY

Each party acknowledges that during performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in any form that is identified as confidential or that a reasonable person would understand to be confidential under the circumstances. The receiving party shall (a) hold Confidential Information in strict confidence, (b) not disclose Confidential Information to any third party except as expressly permitted below, and (c) use Confidential Information only for performance of this Agreement.

Confidential obligations survive termination for a period of five (5) years, except for trade secrets which shall be protected for as long as they remain trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, including all attachments and written statements of work incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous understandings, proposals, negotiations and agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, nationally recognized overnight courier, or certified mail (return receipt requested).

ADDITIONAL PROVISIONS

Independent Contractor. Producer is an independent contractor and nothing in this Agreement creates an employment, joint venture, agency or partnership relationship.

Assignment. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a sale of substantially all assets or equity.
