Recitals

WHEREAS, the Client represents that the items listed in the Inventory are owned by the Client or that the Client is authorized to place such items under the custody of the Production Company for the purposes of production, storage, transport, or use in connection with the Production; and

WHEREAS, the Production Company has agreed to receive, store, track, and/or maintain custody of the items described in this Inventory in accordance with the terms and conditions set forth in this Agreement to ensure accountability, condition reporting, and return or disposition as directed by the Client; and

WHEREAS, the parties desire to document the condition, quantity, and custody terms for the listed items and to allocate responsibility for loss, damage, repair, and costs related thereto.

Scope of Work

The Production Company will receive, store, safeguard, track, and, if applicable, transport the listed items. The Production Company shall maintain a contemporaneous inventory log, provide condition reports upon request, and make items available for inspection or retrieval by the Client according to the terms below.

Complete an entry for each discrete item or kit. Mark condition and note serial numbers where applicable. The Production Company certifies receipt of the quantities and conditions noted below subject to the certification at the end of this document.

Payment Terms

The Client agrees to compensate the Production Company for custody, storage, handling, and any repair or replacement costs as set forth below.

Term and Termination

This Agreement commences on the Start Date set forth below and continues until the End Date, unless earlier terminated in accordance with this section. Either party may terminate for convenience upon delivering notice to the other party as provided herein; termination does not relieve the Client of payment obligations for services rendered or liabilities for items lost or damaged prior to termination.

Confidentiality

Each party shall keep confidential all non-public information regarding the other party’s proprietary items, trade secrets, or creative materials discovered in the course of this Agreement. The Production Company shall not disclose or permit the use of proprietary items or confidential information except as required to perform its obligations or with the Client’s prior written consent. Confidentiality obligations shall survive the termination or expiration of this Agreement for a period of three (3) years.

Liability, Loss and Repair

The Production Company is responsible for loss or damage to items only to the extent such loss or damage results from the Production Company's gross negligence or willful misconduct while items are in its custody. The Client shall maintain insurance covering the full replacement value of listed items; the Production Company may require evidence of such insurance. For items requiring repair due to misuse by the Client or third parties, the Client shall bear repair costs.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State or jurisdiction specified below without regard to its conflict of law principles.

Entire Agreement

This document, together with any written attachments and the itemized inventory contained herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior proposals, representations, or agreements, whether written or oral. Amendments must be in writing and signed by authorized representatives of both parties.

Certification and Acknowledgement

The undersigned certify that the inventory entries above are true and complete to the best of their knowledge as of the Inventory Date. The Production Company acknowledges receipt of the listed items in the stated quantities and conditions, subject to further inspection and the conditions set forth in this Agreement.
