RECITALS

WHEREAS, the Collective provides production, coordination and related creative services, and maintains a group of qualified service providers available to perform audio, video, technical, and on-site production work; and

WHEREAS, the Client desires to engage the Collective to provide production services in connection with the project described below, and the Collective is willing to provide such services under the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Expenses: Client shall reimburse the Collective for pre-approved third-party expenses and out-of-pocket costs incurred in performance of services, subject to submission of receipts and supporting documentation.

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for material breach may be immediate if the breaching party fails to cure within days after written notice.

Upon termination, Client shall pay the Collective for all services performed and unreimbursed expenses incurred through the effective date of termination, plus any non-cancellable commitments made by the Collective in good faith.

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to any third party any non-public information of the other party marked or reasonably understood to be confidential ("Confidential Information"), except as necessary to perform obligations under this Agreement or as required by law. Confidential Information does not include information that is or becomes generally available to the public other than by breach of this Agreement, was rightfully known to the recipient prior to disclosure, or was independently developed by the recipient without use of the disclosing party's Confidential Information.

The receiving party shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, the Collective retains ownership of all underlying production methodologies, tools and pre-existing materials. Client is granted a non-exclusive license to use delivered final deliverables for the purposes specified in the Scope of Work, subject to full payment. Any third-party materials or licensed content incorporated into deliverables will be subject to the applicable third-party license terms.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, willful misconduct, or negligence in connection with the performance of services.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.
