Production Work Agreement

This Production Work Agreement (the "Agreement") is made and entered into as of by and between Producer Name: and Client Name: .

RECITALS

WHEREAS, Producer is engaged in the business of providing production, filming, and related creative services and possesses the personnel, equipment, and expertise necessary to perform the production services described herein; and

WHEREAS, Client desires to retain Producer to perform certain production services and to deliver specified deliverables on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to set forth the scope, schedule, compensation, ownership rights, confidentiality obligations, and other terms governing the production work to be performed.

SCOPE OF WORK

Producer shall provide all labor, materials, equipment, and supervision necessary to perform the production services described below. The scope set forth is intended to fully describe the obligations of Producer and may only be modified in writing and signed by authorized representatives of both parties.

PAYMENT TERMS

Client shall pay Producer for the services and deliverables as follows. All payments are due in U.S. dollars and are non-refundable except as expressly provided in this Agreement.

All invoices are payable within the period specified in the Payment Schedule. If Client disputes an invoice, Client must notify Producer in writing within seven (7) days of receipt specifying the basis for the dispute. Undisputed amounts remain payable under the terms above.

TERM AND TERMINATION

The term of this Agreement shall commence on and shall continue until , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days of written notice.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any confidential or proprietary information of the other party (the "Disclosing Party") learned in connection with this Agreement, except as expressly authorized in writing. Confidential information does not include information that is publicly known through no fault of the Receiving Party or that is independently developed by the Receiving Party without use of the Disclosing Party's confidential information.

The parties agree that confidentiality obligations shall continue for years following termination or expiration of this Agreement.

OWNERSHIP; INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Producer shall retain ownership of Producer's pre-existing materials and tools and all intellectual property rights therein. Upon payment in full of all amounts due under this Agreement, Producer assigns to Client all right, title, and interest in the final deliverables specifically created and delivered to Client under this Agreement. Producer warrants that deliverables are original and do not infringe third-party rights.

WARRANTIES; LIMITATION OF LIABILITY; INDEMNITY

Each party represents that it has authority to enter into this Agreement. EXCEPT AS EXPRESSLY PROVIDED HEREIN, SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES. EACH PARTY SHALL INDEMNIFY AND HOLD HARMLESS THE OTHER FROM THIRD-PARTY CLAIMS ARISING FROM ITS GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

INSURANCE

Producer shall maintain during the term commercially reasonable insurance coverage for its operations, including general liability and workers' compensation as required by law, and shall provide certificates of insurance upon request.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. Any dispute arising under this Agreement shall be resolved in courts of competent jurisdiction within that state.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all exhibits and schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, proposals, and agreements. Any amendment or modification of this Agreement must be in writing signed by authorized representatives of both parties.
