PROFESSIONAL CLEANING CONTRACT

This Professional Cleaning Contract ("Agreement") is made as of between Service Provider Name: with principal address and Client Name: with principal address .

RECITALS

WHEREAS, Service Provider is engaged in the business of providing professional janitorial and cleaning services and represents that it has the necessary experience, personnel, equipment, and insurance to perform such services; and

WHEREAS, Client desires to retain Service Provider to perform cleaning services at the Client premises on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that this Agreement set forth the parties' respective rights and obligations with respect to performance, payment, and liability.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree as follows:

1. SERVICES

1.1 Scope of Work. Service Provider shall perform the cleaning services described in the Scope of Work in a professional and workmanlike manner consistent with industry standards. The Scope of Work is set forth below and constitutes the minimum services to be provided. Additional services will require a written change order signed by both parties.

2. TERM

2.1 Term. The initial term of this Agreement shall commence on and continue until , unless earlier terminated in accordance with this Agreement. Thereafter the Agreement shall renew automatically on a month-to-month basis unless either party delivers written notice of non-renewal at least days prior to the end of the then-current term.

3. COMPENSATION AND PAYMENT

3.1 Fees. Client shall pay Service Provider the fees set forth below for services rendered. Fees are exclusive of applicable taxes unless otherwise stated.

3.2 Payment Terms. Invoices are due within days of invoice date. Overdue amounts shall bear interest at a rate of % per month, or the maximum rate permitted by law, whichever is less. Client shall be responsible for all reasonable collection costs, including attorneys' fees.

4. SUPPLIES, EQUIPMENT, AND SPECIAL REQUESTS

4.1 Supplies and Equipment. Service Provider will supply the following unless Client elects to provide supplies: standard cleaning chemicals, vacuums, mops, and related tools. If Client requests specialized products or equipment, Client shall reimburse Service Provider for such costs upon presentation of receipts.

5. ACCESS, SECURITY, AND STAFFING

5.1 Access. Client will provide reasonable access to the premises during agreed service hours. Keys, access codes, or badges provided to Service Provider shall remain Client property and must be returned upon termination. Service Provider shall maintain a log of persons with authorized access.

5.2 Staffing. Service Provider shall ensure that personnel assigned to perform services are adequately trained, screened, and supervised. Client may request removal of any Service Provider employee for reasonable cause, and Service Provider shall promptly replace such personnel.

6. STANDARDS, HEALTH, AND SAFETY

6.1 Compliance. Service Provider shall perform services in compliance with all applicable federal, state, and local laws, ordinances, codes, and regulations, including those relating to health and safety. Service Provider shall implement and maintain appropriate safeguards to minimize risk of injury or property damage.

6.2 Hazardous Materials. Service Provider shall not handle, remove, or dispose of hazardous wastes or regulated substances unless specifically agreed in writing and appropriate permits and insurance are in place. Client warrants it will notify Service Provider in writing of any known hazardous conditions at the premises.

7. CONFIDENTIALITY

7.1 Confidential Information. In the course of performance, either party may receive confidential information of the other. Each party shall hold such information in confidence and shall not disclose it except to employees, contractors, or agents who have a need to know and are bound by confidentiality obligations. Confidential information does not include information that is or becomes public through no fault of the receiving party.

8. INDEMNIFICATION

8.1 Indemnity by Service Provider. Service Provider shall indemnify, defend and hold Client harmless from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or resulting from Service Provider's negligence, willful misconduct, or breach of this Agreement, provided such claim is not caused by Client's negligence or breach.

8.2 Indemnity by Client. Client shall indemnify, defend and hold Service Provider harmless for claims arising from Client's negligence, hazardous conditions on the premises, or Client-supplied materials.

9. INSURANCE

9.1 Insurance Coverage. Service Provider shall maintain commercial general liability insurance, employer's liability and, where applicable, workers' compensation insurance in amounts customary for the industry and adequate to cover claims arising under this Agreement. Upon request, Service Provider shall provide certificates of insurance evidencing coverage.

10. TERMINATION

10.1 Termination for Convenience. Either party may terminate this Agreement without cause by providing the other party with days' prior written notice.

10.2 Termination for Cause. Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

11. LIMITATION OF LIABILITY

11.1 Limitation. Except for liability arising from gross negligence, willful misconduct, or indemnification obligations under this Agreement, neither party shall be liable to the other for special, indirect, incidental, or consequential damages. The aggregate liability of either party for claims arising out of this Agreement shall not exceed the total fees paid to Service Provider under this Agreement in the preceding period.

12. NOTICES

12.1 Notices. All notices required or permitted hereunder shall be in writing and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or sent by nationally recognized overnight courier to the addresses set forth below or such other address as either party may designate in writing.

13. AMENDMENTS, WAIVER, COUNTERPARTS

13.1 Amendments. This Agreement may be amended only by a written instrument executed by both parties. No oral modification shall be effective.

13.2 Waiver. The failure of either party to enforce any right or provision under this Agreement shall not constitute a waiver of such right or provision unless acknowledged in writing.

13.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

14.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

14.2 Entire Agreement. This Agreement contains the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral.

14.3 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable in any respect, the remaining provisions shall remain in full force and effect and the invalid provision shall be reformed to the extent necessary to make it valid and enforceable.

15. MISCELLANEOUS

15.1 Independent Contractor. Service Provider is an independent contractor and not an employee, partner, or agent of Client. Service Provider shall be solely responsible for payment of wages, benefits, taxes, and other legally required payments for its employees.

15.2 Change Orders. Any changes to the Scope of Work, schedule, or fees shall be made in a written change order signed by both parties. Service Provider shall not be obligated to perform work outside the Scope of Work without an executed change order.
