What a Professional Courtesy Agreement Is and When It Applies

A Professional Courtesy Agreement is a written contract documenting a reduced-fee or no-fee arrangement between a service provider and a client, typically used in healthcare, legal, or professional services to record complimentary or discounted services. The agreement sets the scope of services, eligibility, duration, confidentiality expectations, and any limits on liability or reimbursement. While often informal in practice, a clear written agreement reduces misunderstandings, supports internal approvals, and preserves billing and tax records when needed for audits or regulatory review.

Why a Written Professional Courtesy Agreement Matters

A clear agreement documents eligibility, scope, and duration so both parties understand expectations and any billing or tax implications.

Why a Written Professional Courtesy Agreement Matters

Core Elements Included in a Professional Courtesy Agreement

Most agreements combine service descriptions, eligibility criteria, duration, confidentiality, billing treatment, and termination terms to create an enforceable record of the courtesy arrangement.

Service Scope

Describe the specific services provided, limits on quantity or frequency, and any conditions that must be met before services are provided.

Eligibility

Define who qualifies for the courtesy (staff, family, referrals) and any documentation required to verify eligibility or entitlement.

Duration

State the effective date, end date, renewal terms, and any notice periods required to modify or end the arrangement.

Billing Treatment

Clarify whether services are free or discounted, whether charges are written off, and how the arrangement is recorded for accounting and tax purposes.

Confidentiality

Include any confidentiality or HIPAA-related provisions required when the agreement involves protected health information.

Termination

Specify cause and convenience termination provisions, and any consequences such as outstanding balances or reimbursement obligations.

Who Typically Prepares and Signs This Agreement

Small businesses and institutional departments use the agreement to document practice, ensure consistent application, and support internal audit trails.

  • Healthcare providers and clinics offering discounted patient care to staff, referring physicians, or community members.
  • Law firms providing pro bono or reduced-fee legal services under controlled eligibility terms.
  • Professional service firms (accounting, consulting) granting complementary services to partners or strategic contacts.

Who Signs and Approves

Provider Representative

Typically a clinic manager, practice administrator, or authorized billing official who confirms service scope, billing treatment, and internal approval for the courtesy arrangement.

Beneficiary or Authorized Rep

The patient, client, or an authorized representative who accepts the terms, agrees to any documentation requirements, and acknowledges financial responsibility where specified.

Frequent Mistakes to Avoid When Preparing the Agreement

  • Leaving service scope vague, which leads to disputes over what the courtesy actually covers and when charges apply.
  • Failing to document internal approvals, making it hard to verify authority for waived fees during audits.
  • Incorrect or inconsistent dates and names, causing confusion about effective periods and who is bound by the agreement.
  • Neglecting regulatory clauses (for example HIPAA or licensing constraints) when the agreement involves protected activities.

Practical Tips for Clear, Compliant Agreements

Adopt standardized templates, require minimal necessary approvals, and keep consistent records to reduce risk and speed processing.

Use an approved template
Standardize clauses and required fields so every agreement includes eligibility, scope, effective dates, billing treatment, and signature blocks to avoid omissions that create liability or auditing issues.
Centralize approvals
Route courtesy agreements through a designated billing or compliance reviewer before execution to confirm fee authorization and recordkeeping requirements are met.
Document accounting treatment
Record whether fees are written off, credited, or billed then adjusted; maintain supporting entries to support tax and internal audit inquiries.
Secure storage
Retain executed agreements in a secure, access-controlled repository with an audit trail and export copies for legal holds or regulatory requests.

Typical Timeframes and Notice Periods to Include

Specify clear dates and notice periods so both parties understand timing for commencement, renewal, and termination.

Effective Date:

Date when rights and obligations commence

Signature Deadline:

Typically 30 days from issuance for acceptance

Renewal Notice:

30–60 days required for automatic renewal or nonrenewal

Termination Notice:

30 days notice for convenience termination is common

Record Retention Trigger:

Retention clock starts at effective or termination date
