PROFESSIONAL LIGHTING CONTRACT

This Professional Lighting Contract ("Agreement") is made effective as of by and between Client Name: with mailing address , and Contractor Name: with mailing address .

RECITALS

WHEREAS, Client desires to engage Contractor to provide professional lighting design, supply, installation and commissioning services for the project described below; and

WHEREAS, Contractor represents that it possesses the skill, experience, licenses and insurance necessary to perform such lighting services in a professional and workmanlike manner; and

WHEREAS, the parties desire to reduce their agreement to writing and to set forth their respective rights and obligations.

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

1. SCOPE OF WORK

Contractor shall provide all labor, supervision, materials, equipment, tools, testing and commissioning necessary to perform the lighting services described in Schedule A: Scope of Work, which is incorporated into this Agreement. Project Location:

The Contractor shall commence work on or about and shall achieve Substantial Completion of the services by , subject to adjustments for changes in the Work, delays beyond Contractor's control, and excusable delays as provided herein.

3. COMPENSATION AND PAYMENT

Client shall pay Contractor for performance of the Work a total contract price of (the "Contract Price"), subject to additions and deductions by Change Order.

A deposit in the amount of shall be due upon execution of this Agreement. Final payment shall be due within days after Substantial Completion and submission of final invoice and any required lien waivers.

4. CHANGE ORDERS

Any change to the Scope of Work, Contract Price, or Schedule shall be made only by written Change Order executed by both parties. No oral change shall be binding. Contractor shall submit a written proposal for additional work and pricing; Client shall respond within days.

5. PERFORMANCE STANDARDS

Contractor shall perform the Work in a good and workmanlike manner in accordance with industry standards for professional lighting contractors and applicable manufacturer specifications. Contractor shall coordinate scheduling and access with Client and shall correct at its expense any nonconforming Work discovered within the Warranty Period.

6. MATERIALS, OWNERSHIP, AND STORAGE

Unless otherwise stated in writing, Contractor shall procure all lighting equipment and materials. Title to materials shall pass to Client upon full payment. Contractor shall maintain reasonable protection of materials stored on site and promptly remove debris and packaging upon completion.

7. PERMITS AND COMPLIANCE

Contractor shall obtain and maintain all permits, inspections and approvals required for the performance of the Work unless otherwise agreed in writing. Contractor shall comply with applicable building codes, electrical codes and safety regulations. Any fees imposed by authorities having jurisdiction are the responsibility of .

8. WARRANTY

Contractor warrants that for a period of after Substantial Completion, Work performed shall be free from defects in workmanship. Manufacturer warranties shall govern for equipment; Contractor will assign, to the extent assignable, manufacturer warranties to Client and shall assist in warranty claims.

9. INSURANCE

Contractor shall maintain commercial general liability insurance and workers' compensation as required by law. Minimum liability limits: General Liability per occurrence and aggregate. Upon request, Contractor shall furnish certificates evidencing coverage.

10. INDEMNIFICATION

Contractor shall indemnify, defend and hold harmless Client, its officers, directors and agents from and against claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of Contractor's negligence or willful misconduct in performing the Work, provided that such obligation shall not apply to the extent such claims arise from Client's negligence or breach of this Agreement.

11. LIMITATION OF LIABILITY

Except for liability arising from gross negligence or willful misconduct, the total liability of Contractor for any claim arising under this Agreement shall not exceed the total Contract Price paid by Client to Contractor under this Agreement.

12. TERMINATION

Either party may terminate this Agreement for cause if the other party materially breaches any provision and fails to cure within days after written notice. Upon termination for cause by Client, Contractor shall be compensated for Work performed to the date of termination, subject to offsets for damages.

13. CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to third parties any confidential information received from the other party in connection with the Work, except as required by law or as necessary to perform the obligations under this Agreement.

14. NOTICES

Notices under this Agreement shall be in writing and delivered by hand, nationally recognized overnight courier, or registered mail to the addresses set forth below (or to such other address as a party may designate by notice). Notice is deemed given on delivery.

15. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law.

16. ENTIRE AGREEMENT

This Agreement, including any referenced schedules and executed Change Orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, proposals and agreements.

17. SEVERABILITY

If any provision of this Agreement is held invalid or unenforceable, such provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

18. AMENDMENTS AND WAIVER

No amendment or waiver of any provision of this Agreement shall be effective unless made in writing and signed by authorized representatives of both parties. Failure to enforce any right shall not constitute a waiver of that right.

19. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

20. REPRESENTATIONS

Each party represents and warrants that it has the full power and authority to enter into this Agreement, that the person signing on its behalf is authorized to do so, and that this Agreement is a valid and binding obligation of such party enforceable in accordance with its terms.
