Professional Mentoring Agreement

This Professional Mentoring Agreement ("Agreement") is entered into as of by and between Mentor Name: and Mentee Name: .

RECITALS

WHEREAS, Mentor possesses professional experience, skill and expertise in the field described in Section 2 below and is willing to provide mentoring, guidance and advisory services to Mentee on the terms set forth in this Agreement;

WHEREAS, Mentee desires to engage Mentor to provide mentoring services to assist Mentee in professional development, skill acquisition and career advancement, and Mentor agrees to provide such services under the terms and conditions set forth herein;

WHEREAS, the parties intend that this Agreement define the scope of work, payment obligations, confidentiality protections and the remedies available for breach.

1. SCOPE OF WORK

Mentor will provide services that may include one-on-one meetings, review of materials, feedback, introductions to professional contacts, and guidance on professional development. Deliverables, meeting frequency and expected milestones will be governed by the description provided above and the payment schedule in Section 2.

2. PAYMENT TERMS

Unless otherwise agreed in writing, Mentee shall pay amounts due within the period set forth in the payment schedule. Overdue amounts are subject to the late payment fee described above. Mentee shall be responsible for reasonable collection costs, including attorneys' fees, incurred by Mentor to collect unpaid amounts.

Either party may terminate this Agreement for convenience upon providing written notice to the other party in the number of days specified above. Either party may terminate immediately for material breach by the other party that remains uncured after ten (10) days' written notice, or for cause in the event of fraud, willful misconduct or gross negligence. Termination shall not relieve either party of obligations accrued prior to the effective termination date.

4. CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means non-public business, technical, strategic and personal information disclosed by one party to the other, whether disclosed orally or in writing, that is identified as confidential at the time of disclosure or that by its nature should reasonably be considered confidential.

The recipient of Confidential Information shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform under this Agreement; and (c) not disclose Confidential Information to any third party except as required by law or with the prior written consent of the disclosing party. These obligations shall survive termination of this Agreement for a period of .

5. INTELLECTUAL PROPERTY; PUBLICITY

Unless otherwise agreed in writing, Mentor retains all rights in materials, methodologies and intellectual property provided to Mentee. Mentee may not reproduce or distribute Mentor's proprietary materials without prior written consent. Mentor may, however, use anonymized and non-identifiable descriptions of mentoring engagement for internal records and aggregated case studies.

6. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, AND MENTOR'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY MENTEE TO MENTOR UNDER THIS AGREEMENT IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified above, without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that jurisdiction for resolution of disputes.

8. ENTIRE AGREEMENT

This Agreement, including any schedules or attachments expressly incorporated in writing, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether oral or written. Any modification or amendment to this Agreement must be in writing and signed by both parties.

9. MISCELLANEOUS

Notices required under this Agreement shall be in writing and delivered to the addresses provided by the parties. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that they have had the opportunity to seek independent legal counsel prior to executing this Agreement.
