PROFESSIONAL PCA AGREEMENT

This Professional PCA Agreement (the Agreement) is entered into as of by and between Client Name: whose address is (hereinafter "Client"), and Personal Care Assistant Name: whose address is (hereinafter "PCA"). Client and PCA are sometimes individually a "Party" and collectively the "Parties."

RECITALS

WHEREAS, Client requires in-home personal care assistance, including non-medical supportive services to assist with activities of daily living; and

WHEREAS, PCA represents that PCA has the necessary training, certifications, background check status, and ability to provide the requested personal care services in a professional manner; and

WHEREAS, the Parties desire to set forth the terms and conditions under which PCA will provide personal care services to Client.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the Parties agree as follows:

1. SERVICES

1.1 Scope. PCA shall provide personal care services including, but not limited to, assistance with bathing, dressing, toileting, mobility, meal preparation, medication reminders, transfers, and other supportive tasks as agreed. PCA shall perform services in a professional manner consistent with industry standards and any written care plan provided by Client or Client's authorized representative.

2. TERM

2.1 Term. This Agreement commences on and continues until unless earlier terminated in accordance with Section 11.

3. SCHEDULE; HOURS OF WORK

3.1 Schedule. PCA shall perform services according to the following regular schedule: Weekly schedule and shift times:

3.2 Maximum Hours. Unless otherwise authorized in writing by Client, PCA shall not exceed hours per week. Authorized overtime shall be compensated as set forth in Section 4.

4. COMPENSATION; PAYMENT

4.1 Rate. Client shall pay PCA at the rate of $ per hour for services performed and authorized by Client.

4.2 Overtime. Hours worked in excess of hours per week shall be compensated at a rate of $ per hour, unless otherwise agreed in writing and permitted by law.

4.3 Pay Schedule. PCA will be paid by Client. PCA shall submit time records in the format required by Client. Payment shall be made within days after Client's receipt of an accurate time record and invoice (if required).

5. BACKGROUND CHECKS; LICENSING; TRAINING

5.1 Background Checks. PCA represents and warrants that PCA has submitted to and passed any criminal background checks and clearance required by Client or applicable law. PCA attests by checking below:

5.2 Training and Certifications. PCA shall maintain current certifications and training required to perform assigned tasks. PCA shall provide copies of certifications and a list of relevant training to Client upon request.

6. CONFIDENTIALITY; PRIVACY

6.1 Confidential Information. PCA acknowledges that in the course of providing services PCA may receive confidential information regarding Client's health, personal affairs, finances, or family. PCA shall hold all such information in strict confidence and shall not disclose such information except as required for the performance of services or as required by law.

6.2 Compliance. PCA shall comply with applicable privacy and data-protection laws and with any privacy policies promulgated by Client in writing.

7. RELATIONSHIP OF THE PARTIES

7.1 Status. The Parties agree that PCA is: (select applicable status). The selected status governs obligations for tax withholding, benefits, and workers' compensation unless otherwise required by law.

7.2 If PCA is an independent contractor, PCA is responsible for all taxes, withholdings, and insurance; if PCA is identified as an employee, Client will comply with payroll withholding and workers' compensation obligations as required by law.

8. INSURANCE

8.1 Insurance. PCA shall maintain professional liability and general liability insurance with minimum limits of $ per occurrence (or such other limits as Client reasonably requests). PCA shall provide proof of insurance upon request.

9. INDEMNIFICATION

9.1 Indemnity by PCA. PCA shall indemnify, defend and hold harmless Client and Client's agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of PCA's negligence, willful misconduct, breach of this Agreement, or failure to perform services in accordance with applicable standards.

9.2 Indemnity by Client. Client shall indemnify PCA for claims arising from Client's provision of incorrect instructions or for risks knowingly assumed by Client in writing.

10. TERMINATION

10.1 Termination for Convenience. Either Party may terminate this Agreement for any reason upon days' prior written notice to the other Party.

10.2 Immediate Termination. Client may immediately terminate this Agreement for cause if PCA engages in gross misconduct, breaches confidentiality, abandons duties, fails to maintain required clearances, or poses an immediate risk to Client's health or safety.

11. NOTICES

11.1 All notices under this Agreement shall be in writing and delivered by personal delivery, certified mail (return receipt requested), or reputable overnight courier to the addresses below (or to such other address as a Party may designate in writing).

12. AMENDMENTS; WAIVER

12.1 Amendments. This Agreement may be amended or modified only by a written instrument signed by both Parties.

12.2 Waiver. No waiver by either Party of any breach or failure to enforce any provision hereof shall be effective unless in writing, nor shall it constitute a waiver of any other or subsequent breach.

13. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice of law principles. Any action arising under or in connection with this Agreement shall be brought in the state or federal courts located in that State.

14. ENTIRE AGREEMENT; SEVERABILITY; COUNTERPARTS

14.1 Entire Agreement. This Agreement, including any attachments or addenda signed by the Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, representations and warranties, whether written or oral.

14.2 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect and such provision shall be replaced by a valid provision that most closely matches the Parties' original intent.

14.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument.

15. CERTIFICATIONS AND ACKNOWLEDGMENTS

PCA certifies that the information provided to Client regarding qualifications, training, and background is true and accurate. PCA acknowledges that falsification of such information is grounds for immediate termination and may subject PCA to civil or criminal penalties under applicable law.
