PROFESSIONAL PRIVATE INVESTIGATOR AGREEMENT

RECITALS

WHEREAS, Client desires to engage Investigator to perform professional investigative services relating to the matter described as: ; and

WHEREAS, Investigator represents that Investigator is duly licensed, qualified and experienced to perform the requested services in accordance with applicable law and professional standards; and

WHEREAS, the parties desire to set forth the terms and conditions of Investigator’s engagement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree as follows:

1. ENGAGEMENT; SCOPE OF SERVICES

1.1 Engagement. Client engages Investigator, and Investigator accepts such engagement, to perform the investigative services described in this Agreement in accordance with its terms.

1.2 Change of Scope. Investigator shall not materially change the scope, methods, or extent of services without prior written authorization from Client. Additional services requested by Client shall be billed in accordance with Section 3.

2. TERM

2.1 Term. The term of this Agreement shall commence on Commencement Date: and, unless earlier terminated under Section 13, shall continue until Completion Date: or the delivery of the final report and disposition of all materials.

3. FEES, RETAINER AND EXPENSES

3.1 Fees. Client shall pay Investigator fees as follows:

Client shall reimburse Investigator for reasonable out-of-pocket expenses incurred in connection with the performance of services, including but not limited to travel, lodging, court fees, record searches, process service and equipment rental. Expenses shall be billed in accordance with Investigator’s standard expense policy and supported by receipts when reasonably requested.

3.3 Invoicing; Payment. Investigator shall submit invoices itemizing fees and expenses. Client shall pay invoices within Payment Days: days of receipt. Unpaid amounts shall accrue interest at Late Fee Rate: .

4. INDEPENDENT CONTRACTOR

Investigator is an independent contractor. Nothing in this Agreement shall create an employer/employee, joint venture, partnership or agency relationship. Investigator shall be solely responsible for all taxes, withholdings and other statutory obligations with respect to its personnel.

5. CONFIDENTIALITY

5.1 Confidential Information. Investigator shall maintain in strict confidence all non-public information and materials provided by Client or generated in the course of the investigation (collectively, "Confidential Information"), and shall not disclose such information except as authorized by Client or required by law.

5.2 Exceptions. Confidential Information does not include information that is (a) in the public domain through no fault of Investigator; (b) rightfully received from a third party without breach of obligation; or (c) independently developed by Investigator without use of Client materials.

6. WORK PRODUCT; EVIDENCE AND CHAIN OF CUSTODY

6.1 Work Product. All original reports, notes, photographs, electronic data and other materials produced by Investigator in the performance of services (the "Work Product") shall be delivered to Client. Title to Work Product shall vest in Client upon full payment of all fees and expenses, except Investigator may retain copies for its files.

6.2 Chain of Custody. Investigator shall maintain contemporaneous records sufficient to establish chain of custody of physical evidence and shall make such records available to Client and to courts or tribunals as necessary.

7. COMPLIANCE WITH LAW; LICENSES

Investigator warrants that Investigator holds and will maintain all licenses, permits and registrations required by applicable law for the provision of investigative services. Investigator will comply with all applicable laws, regulations and professional codes of conduct in performing services.

8. INDEMNIFICATION

8.1 Investigator Indemnity. Investigator shall indemnify, defend and hold Client harmless from and against any claims, liabilities or losses arising from Investigator's gross negligence, willful misconduct or material breach of this Agreement.

8.2 Client Indemnity. Client shall indemnify, defend and hold Investigator harmless from and against any claims relating to Client-provided information, Client instructions that are unlawful or improper, or Client’s breach of this Agreement.

9. INSURANCE

Investigator shall maintain insurance in the amounts set forth above during the term of this Agreement and shall provide certificates of insurance upon Client's request.

10. LIMITATION OF LIABILITY

Except for liability arising from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental, special or punitive damages, and aggregate liability of either party shall be limited to the total fees paid by Client to Investigator under this Agreement for the specific engagement giving rise to the claim.

11. TERMINATION

Either party may terminate this Agreement for convenience upon written notice delivered at least Termination Notice Days: days prior to the effective termination date. Either party may terminate immediately for material breach that remains uncured for Cure Period Days: days after written notice.

Upon termination, Client shall pay Investigator for all services performed and expenses incurred through the effective date of termination, including reasonable close-out costs.

12. NOTICES

Notices shall be sent by certified mail, overnight courier, or electronic mail (to an address designated in writing) and shall be deemed given upon receipt.

13. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both parties. Failure to enforce any provision shall not constitute a waiver of future enforcement. This Agreement may be executed in counterparts, each of which shall be deemed an original.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. MISCELLANEOUS PROVISIONS

15.1 Assignment. Neither party may assign this Agreement without the prior written consent of the other, except that Investigator may assign its rights to a successor in interest in connection with a sale of substantially all of its assets.

15.2 Non-Solicitation. During the term of this Agreement and for a period of one (1) year thereafter, Client shall not knowingly solicit for hire Investigator’s employees or subcontractors who performed services under this Agreement without Investigator's prior written consent.
