PROFESSIONAL PI CONTRACT

This Professional PI Contract (the "Agreement") is entered into as of Effective Date: by and between Client Name: (the "Client"), and Investigator Name: (the "Investigator").

RECITALS

WHEREAS, the Client requires investigative, surveillance, background-check, or related professional services in connection with matters described in Scope of Services; and

WHEREAS, the Investigator is duly licensed, bonded, and insured to perform private investigative services and represents that Investigator possesses the training, experience, and qualifications necessary to provide such services; and

WHEREAS, the parties desire to set forth the terms and conditions governing the Investigator's engagement by the Client.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms have the meanings set forth below: "Scope of Services" means the services described in Section 2; "Deliverables" means written reports, photographs, recordings, and other tangible outputs produced by Investigator in the performance of Services.

2. ENGAGEMENT AND SCOPE OF SERVICES

The Client hereby engages the Investigator, and the Investigator accepts such engagement, to perform investigative services as described below. Investigator shall perform such services in a professional manner consistent with industry standards and applicable law.

The term of this Agreement shall commence on Effective Date and continue until completion of the Services described in the Scope of Services, unless earlier terminated in accordance with Section 10. Estimated commencement date:

4. FEES, RETAINER AND PAYMENT

Client shall pay Investigator fees as follows. Fees are earned when incurred and are payable in accordance with this Section. Investigator may require an initial retainer which shall be applied against final invoice.

All payments not received within Payment Terms shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Client shall reimburse Investigator for reasonable expenses incurred in connection with the Services, including but not limited to travel, lodging, specialized database fees, and court filing fees, subject to the following pre-approval requirements:

5. CONFIDENTIALITY; PRIVILEGE; EVIDENCE HANDLING

Investigator shall maintain the confidentiality of information obtained in the course of performing Services, except as otherwise required by law or this Agreement. Investigator's work product, including notes, recordings, photographs, and files, shall be treated as confidential. Investigator may disclose confidential information to subcontractors and counsel only on a need-to-know basis and subject to written confidentiality obligations.

The parties acknowledge that certain communications and materials may not be subject to any attorney-client or work-product privilege, and Investigator does not provide legal advice. Chain-of-custody and evidentiary handling protocols shall be documented for any physical or digital evidence; such documentation shall form part of the Deliverables.

6. COMPLIANCE WITH LAW; AUTHORIZATIONS

Investigator shall perform Services in compliance with all applicable federal, state, and local laws, including licensing, surveillance, privacy, and trespass laws. Investigator shall not obtain information by means that would constitute a criminal offense. Client represents and warrants that it has the legal right to engage Investigator for the requested Services and will provide any authorizations, releases, or court orders necessary for Investigator to perform the Services lawfully.

7. SUBCONTRACTING; PERSONNEL

Investigator may subcontract portions of the Services to qualified subcontractors. Investigator remains responsible for the performance of Services and compliance with this Agreement. Investigator shall ensure that all personnel performing Services are properly licensed where required and shall supervise subcontractors to maintain standards of performance.

8. RECORDS, ACCESS AND RETENTION

Investigator shall keep reasonably detailed records of time spent and activities performed. Upon Client's request and payment of any outstanding invoices, Investigator shall provide copies of Deliverables and relevant records. Investigator may retain originals and copies of files for archival purposes but shall dispose of such records in a secure manner following a retention period of unless otherwise required by law.

Investigator represents that Investigator maintains general liability and professional liability insurance in amounts reasonable for the Services. Minimum insurance coverage amounts:

10. TERMINATION

Either party may terminate this Agreement for convenience upon written notice to the other party. Either party may terminate immediately for material breach that remains uncured after ten (10) days' written notice. Upon termination, Investigator shall deliver all completed Deliverables and Client shall pay Investigator for all Services performed and expenses incurred through the effective date of termination, plus any non-cancelable commitments.

11. INDEMNIFICATION

Client shall indemnify, defend, and hold harmless Investigator and its officers, agents, and employees from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Client's breach of this Agreement, Client's instructions or information, or Client's use of the Deliverables, except to the extent caused by Investigator's gross negligence or willful misconduct.

12. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES. INVESTIGATOR'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO INVESTIGATOR UNDER THIS AGREEMENT.

13. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or such other address as either party may designate by written notice.

14. AMENDMENTS; WAIVER

No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

15. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties agree that exclusive venue for any dispute shall be the state or federal courts located in the same state absent agreement otherwise in writing.

16. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, oral or written. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remainder of this Agreement shall remain in full force and effect.

17. COUNTERPARTS; ELECTRONIC SIGNATURES

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be binding and have the same force and effect as original signatures.
