PROFESSIONAL PRODUCTION SERVICES AGREEMENT

This Professional Production Services Agreement ("Agreement") is entered into as of by and between Client Name: , Client Address: , and Producer Name: , Producer Address: . Client and Producer are each a "Party" and collectively the "Parties."

RECITALS

WHEREAS, Client desires to engage Producer to provide professional production services in connection with the project described as: (the "Project"); and

WHEREAS, Producer represents that it has the personnel, equipment, and expertise necessary to perform the production services described in this Agreement; and

WHEREAS, the Parties desire to set forth their respective rights and obligations regarding the production, delivery and exploitation of the Resulting Materials (as defined below).

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:

1. ENGAGEMENT; SCOPE OF SERVICES

1.1 Engagement. Client hereby engages Producer, and Producer accepts such engagement, to perform the production services described in Exhibit A attached hereto and incorporated herein (the "Services"). Producer shall perform the Services in a professional manner consistent with industry standards.

1.2 Location and Schedule. Producer shall perform the Services at the Locations set forth in Exhibit A and in accordance with the Production Schedule. Anticipated production start date: . Anticipated completion date: .

2. COMPENSATION; PAYMENT

2.1 Fees. Client shall pay Producer the fees set forth below and in Exhibit B. Total contract fee: $.

2.2 Deposit. Client shall pay a non-refundable deposit of $ upon execution. The deposit shall be credited against final fees.

2.3 Expenses. Producer shall be reimbursed for reasonable, pre-approved out-of-pocket expenses incurred in the performance of the Services. Producer's obligation to incur any such expenses requires prior written approval by Client. Producer shall provide originals or copies of receipts for reimbursement.

Producer may incur pre-approved expenses and invoice Client for reimbursement according to the Payment Terms.

3. CHANGES; ADDITIONAL SERVICES

3.1 Change Orders. Any material change to the Services, schedule, or deliverables shall be documented in a written change order signed by both Parties setting forth any additional fees and schedule adjustments. Producer shall not be required to perform changed Services without an executed change order.

4. DELIVERABLES; ACCEPTANCE

4.1 Deliverables. The "Deliverables" shall mean the final edited materials, masters, and related assets produced pursuant to the Services (the "Resulting Materials"). Delivery specifications and formats shall be set forth in Exhibit A.

4.2 Acceptance. Client shall have a period of days after delivery to review and accept or reject the Deliverables for material nonconformity. Failure to timely object constitutes acceptance.

5. INTELLECTUAL PROPERTY; OWNERSHIP

5.1 Ownership of Materials. Unless otherwise agreed in writing, Producer shall retain all right, title and interest in and to raw footage, source files, and Producer's pre-existing materials. Upon full payment of amounts due under this Agreement, Producer grants Client a non-exclusive, worldwide, transferable license to use the Resulting Materials for the uses specified in Exhibit C.

5.2 Moral Rights. To the extent permitted by law, Producer hereby waives and agrees not to assert any moral rights in the Resulting Materials that would restrict Client's intended uses.

6. CONFIDENTIALITY

6.1 Confidential Information. Each Party shall keep confidential and shall not disclose to any third party any non-public information disclosed by the other Party that is designated as confidential or that reasonably should be understood to be confidential. Confidential Information does not include information that is or becomes generally known to the public through no fault of the receiving Party.

6.2 Remedies. The Parties acknowledge that a breach of confidentiality may cause irreparable harm for which monetary damages would be inadequate. Accordingly, the disclosing Party shall be entitled to injunctive relief in addition to any other remedies at law or in equity.

7. REPRESENTATIONS AND WARRANTIES

7.1 Mutual Representations. Each Party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Each Party further represents that its execution of this Agreement does not violate any agreement with a third party.

7.2 Producer Warranties. Producer warrants that the Services will be performed in a professional manner consistent with industry standards and that the Resulting Materials, to the best of Producer's knowledge, will not infringe any third party intellectual property rights, provided that Producer's warranties do not apply to third party materials supplied by Client.

8. INDEMNIFICATION; LIMITATION OF LIABILITY

8.1 Indemnification by Client. Client shall indemnify, defend and hold harmless Producer and its officers, employees and agents from and against any third party claims arising out of Client's instructions, materials, or breach of this Agreement, except to the extent caused by Producer's gross negligence or willful misconduct.

8.2 Indemnification by Producer. Producer shall indemnify Client against third party claims arising from Producer's breach of warranty set forth in Section 7.2, except to the extent that such claims arise from Client-provided materials or Client directions.

8.3 Limitation of Liability. Except for liability arising from gross negligence, willful misconduct, or breaches of confidentiality and indemnity obligations, neither Party's aggregate liability for claims related to this Agreement shall exceed the total fees actually paid by Client to Producer under this Agreement.

9. INSURANCE

Producer shall maintain, at its expense, general liability insurance with limits not less than $ per occurrence and workers' compensation insurance as required by law. Upon Client's request, Producer shall furnish certificates evidencing such coverage.

10. TERMINATION

10.1 Termination for Cause. Either Party may terminate this Agreement upon written notice if the other Party materially breaches this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

10.2 Termination for Convenience. Client may terminate for convenience upon days' prior written notice, in which event Client shall pay Producer for all Services performed through the effective date of termination and reasonable wind-down costs.

11. FORCE MAJEURE

Neither Party shall be liable for failure or delay in performance caused by events beyond its reasonable control, including acts of God, government actions, pandemics, labor disputes, or utility failures. The affected Party shall promptly notify the other Party and shall use commercially reasonable efforts to resume performance.

12. NOTICES

All notices under this Agreement shall be in writing and shall be delivered by hand, certified mail (return receipt requested), or commercial courier to the addresses set forth below or such other address as a Party may designate in writing.

13. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice of law principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in the county in which Producer has its principal place of business for disputes arising out of this Agreement.

14. ENTIRE AGREEMENT; SEVERABILITY

This Agreement, including all Exhibits and executed change orders, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. AMENDMENT; WAIVER; COUNTERPARTS

No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties. Failure or delay to enforce any right shall not constitute a waiver. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

16. MISCELLANEOUS PROVISIONS

The Parties are independent contractors. Nothing in this Agreement shall create a partnership, joint venture, or employment relationship. Each Party shall comply with all applicable laws in performing its obligations under this Agreement.
