What a Professional Secretarial Agreement Covers

A Professional Secretarial Agreement is a written contract that establishes the relationship between a client organization and a corporate secretary or secretarial services provider. It defines the scope of duties — such as minute taking, statutory filings, corporate governance support, record maintenance, board meeting preparation, and compliance monitoring — and sets terms for compensation, duration, confidentiality, and liability. The agreement clarifies responsibilities, approval processes, and deliverables so both parties understand operational expectations and legal obligations under corporate and regulatory frameworks.

Why formalizing secretarial services matters

A written agreement reduces ambiguity, allocates risk, and documents deliverables and fees. It helps ensure compliance with corporate law, supports audit readiness, and provides a clear basis for dispute resolution if duties or timelines are contested.

Why formalizing secretarial services matters

Who typically engages or completes this agreement

The Professional Secretarial Agreement is used across small businesses, corporate legal departments, and outsourced service firms when administrative governance tasks are delegated.

  • Corporate general counsels and in-house legal teams managing board governance and statutory filings.
  • Small and medium business owners hiring external company secretarial services.
  • Outsourced secretarial firms or virtual company secretaries providing recurring governance support.

Use the agreement to allocate responsibilities clearly and to document deliverables, invoicing terms, and confidentiality obligations between parties.

Typical signers and their roles

Corporate Secretary

An appointed corporate secretary or an external secretarial services firm that performs governance tasks, prepares minutes, maintains statutory registers, and ensures corporate compliance. The party accepts operational duties and liability limits under the agreement.

Company Officer

A director or officer authorized to bind the company who approves engagement terms, signs on the company’s behalf, and oversees performance against the agreed scope.

Core components that belong in the agreement

A clear structure increases enforceability and reduces operational confusion. The following elements form the backbone of a Professional Secretarial Agreement.

Parties

Identify each contracting entity and the legal capacity in which they sign, including registered company name, business type, and primary contact details for notices and service delivery.

Scope of Services

Describe specific secretarial tasks (minutes, filings, statutory registers, compliance checks) with measurable deliverables and frequency to avoid scope creep and disputes.

Term and Renewal

State the effective date, initial term, renewal mechanics (automatic or opt-in), and any notice period required for nonrenewal or termination.

Fees and Billing

Specify compensation model (flat fee, hourly, retainer), billing frequency, payment terms, invoicing requirements, and any reimbursable expenses.

Confidentiality

Set obligations for handling sensitive corporate information, data protection measures, and any required nondisclosure provisions or security standards.

Termination & Liability

Define termination triggers, notice periods, post-termination handover duties, limitation of liability, indemnities, and dispute resolution procedures.

Step-by-step: drafting to signing

Follow these practical steps to prepare, review, and execute a Professional Secretarial Agreement efficiently and compliantly.

  • 01
Draft: Assemble scope, fees, and term in a single draft for review.
  • 02
Review: Have legal counsel or an authorized officer verify compliance and signatory authority.
  • 03
Approve: Obtain internal approvals or board resolutions where corporate authority is required.
  • 04
Execute: Sign by authorized parties; notarize only if jurisdiction or policy requires it.

Typical online workflow settings for digital completion

Configure the digital signing workflow to match your authentication and routing needs before sending documents for signature.

Field Configuration
Authentication Email link or SMS code for signer verification
Signing Order Set sequential or parallel signer sequence
Reminders Automatic email reminders at set intervals
Document Retention Store signed copies and audit trail securely

Where to send and how routing works

Routing defines who receives drafts, who reviews, and who signs. Align recipients and permissions with internal approvals before finalizing.

  • Upload Document: Place the agreement in the signing platform in PDF or DOCX format.
  • Assign Fields: Add signature, date, and initial fields for each signer and reviewer.
  • Set Recipients: Enter signer emails and define signing order or parallel signing.
  • Send & Track: Send the package and monitor status until completion and archival.

Technical considerations for eSigning and storage

Ensure your chosen platform supports required file formats, authentication levels, and secure storage before eSigning.

  • Supported Formats: PDF, DOCX, and editable text are commonly supported
  • Integrations: CRM and cloud storage links speed recordkeeping
  • Authentication: Options include email link, SMS code, and KBA

Confirm encryption-in-transit and at-rest, audit trail capture, and integration with existing systems for centralized records and regulatory compliance.

Key dates and notice periods to include

Effective Date:

Date when obligations and rights begin (MM/DD/YYYY)

Renewal Notice:

Specify notice period for nonrenewal (commonly 30–90 days)

Termination Notice:

State required notice for termination without cause (commonly 30 days)

Payment Due Dates:

Define invoice cycles and net terms (e.g., Net 30)

Record Handover:

Common mistakes to avoid when preparing the agreement

  • Using vague scope language that leads to disagreements about deliverables and response times.
  • Failing to confirm signatory authority, which can render the agreement unenforceable against the intended party.
  • Omitting retention and handover obligations, causing gaps in corporate record continuity after termination.
  • Neglecting data protection clauses when secretarial services will process sensitive or regulated information.

Potential legal and financial risks from errors

Contract Void Risk: Improper signatory authority
Regulatory Fines: Noncompliance with statutorily required filings
Data Breach Liability: Inadequate security controls
Tax Consequences: Incorrect reporting or missing documentation
Breach Damages: Failure to perform duties
Reputational Harm: Governance lapses disclosed publicly

Security and compliance considerations for digital records

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Audit Trail: Tamper-evident timestamps and activity logs
Access Controls: Role-based permissions and SSO support
HIPAA Support: BAA available when required
Compliance: SOC 2 Type II and ISO 27001 certified
Retention: Exportable records for legal production
