PROFESSIONAL SERVICES CONTRACT RENEWAL

This Renewal Agreement (the "Renewal") is entered into as of Effective Date: by and between Client Name: and Service Provider Name: . Reference is made to the Professional Services Agreement dated Original Agreement Date: (the "Agreement").

Recitals

WHEREAS, Client and Service Provider previously entered into the Agreement under which Service Provider provided professional services to Client; and

WHEREAS, the parties desire to renew and extend the Agreement on the terms and subject to the conditions set forth in this Renewal; and

WHEREAS, the parties intend that this Renewal shall supersede any conflicting renewal provisions of the Agreement and shall govern the renewed term of services.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Renewal Term

1.1 Renewal. The Agreement is hereby renewed for a period of months commencing on the Renewal Commencement Date: and expiring on the Renewal Expiration Date: , unless earlier terminated in accordance with the Agreement.

1.2 Survival. All obligations, covenants, warranties and indemnities in the Agreement that by their nature survive termination shall survive the renewal and any subsequent termination to the extent set forth in the Agreement.

2. Scope of Services

2.1 Services. During the Renewal Term, Service Provider shall perform the services described below in accordance with the standards and schedules set forth in the Agreement and this Renewal.

3. Compensation and Payment

3.1 Fees. Client shall pay Service Provider the fees set forth below for services rendered during the Renewal Term. The fees shall be payable in accordance with the payment schedule described in this Section.

4. Invoicing

4.1 Invoices. Service Provider shall submit itemized invoices to Client detailing work performed, time expended and expenses incurred. Unless otherwise agreed in writing, Client shall pay undisputed portions of each invoice within the Payment Terms set forth above.

5. Termination

5.1 Termination for Convenience. Either party may terminate this Renewal upon written notice to the other party if provided in accordance with the Notice provisions of this Renewal. Termination shall not relieve Client of its obligation to pay for services rendered and expenses incurred prior to the effective date of termination.

5.2 Termination for Cause. Either party may terminate this Renewal for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

6. Confidentiality

6.1 Confidential Information. Each party shall continue to treat Confidential Information of the other party in accordance with the confidentiality provisions of the Agreement. Confidential Information shall not be disclosed except as authorized by the disclosing party or as required by law.

7. Intellectual Property

7.1 Ownership. Unless otherwise expressly provided in the Agreement, work product developed by Service Provider specifically for Client during the Renewal Term and paid for in full shall be deemed a work made for hire and ownership shall vest in Client. Service Provider retains ownership of pre-existing materials and tools and grants Client a limited license to use such materials solely to the extent incorporated in the deliverables.

8. Independent Contractor

8.1 Relationship. Service Provider shall perform services as an independent contractor. Nothing in this Renewal shall create an employment, partnership, joint venture or agency relationship between the parties. Service Provider is solely responsible for all taxes, withholdings and other statutory obligations applicable to its performance.

9. Warranties; Indemnification; Limitation of Liability

9.1 Warranties. Service Provider represents and warrants that it will perform services in a professional and workmanlike manner in accordance with industry standards and the terms of the Agreement.

9.2 Indemnification. Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses or damages arising out of that party's breach of this Renewal, gross negligence or willful misconduct, subject to the limitations set forth in the Agreement.

9.3 Limitation of Liability. Except as required by applicable law or as otherwise set forth in the Agreement, neither party shall be liable to the other for consequential, incidental, indirect or punitive damages arising out of or relating to this Renewal.

10. Insurance

10.1 Insurance Requirements. During the Renewal Term, Service Provider shall maintain insurance with coverages and limits customary for the services provided and as required under the Agreement.

11. Notices

11.1 Method. All notices required or permitted under this Renewal shall be in writing and delivered in accordance with the Notice provisions of the Agreement, or to the following contacts if no notice address is specified in the Agreement.

12. Amendments; Waiver; Counterparts

12.1 Amendments. This Renewal may be amended or modified only by a writing executed by authorized representatives of both parties.

12.2 Waiver. No waiver of any provision of this Renewal shall be effective unless in writing and signed by the party against whom enforcement is sought. The failure to enforce any right shall not constitute a waiver of that right.

12.3 Counterparts. This Renewal may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures transmitted electronically or by facsimile shall be deemed original signatures.

13. Governing Law; Entire Agreement; Severability

13.1 Governing Law. This Renewal shall be governed by and construed in accordance with the laws of the jurisdiction governing the Agreement, without regard to principles of conflict of laws, unless the Agreement specifies a governing jurisdiction in which case that jurisdiction shall govern.

13.2 Entire Agreement. This Renewal, together with the Agreement and any exhibits and attachments expressly incorporated herein, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings relating thereto to the extent of any inconsistency.

13.3 Severability. If any provision of this Renewal is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect, and the parties shall negotiate in good faith a substitute provision that achieves, to the extent possible, the original intent of the invalid provision.
