Professional Services Hydraulic Solutions Contract

This Professional Services Hydraulic Solutions Contract ("Agreement") is entered into as of by and between Service Provider Name: a Individual Corporation LLC located at , and Client Name: a Individual Corporation LLC located at .

RECITALS

WHEREAS, Service Provider is engaged in the business of providing hydraulic system design, maintenance, repair and related professional services and has the technical expertise and personnel necessary to perform such services for Client; and

WHEREAS, Client desires to engage Service Provider to provide professional hydraulic solutions for the equipment and sites identified in this Agreement, and Service Provider is willing to perform such services under the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the performance, acceptance and payment for the Services described below.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. Scope of Services

1.1 Services. Service Provider shall provide the professional services described in the Statement of Work attached hereto as Exhibit A and incorporated herein (the "Services"). The Services shall include, without limitation, assessment, design, repair, installation, testing, commissioning, and training as specified.

1.2 Change Orders. Any material change to the scope, schedule or price must be authorized in writing by both parties in a Change Order signed by authorized representatives. Service Provider shall not be required to perform work beyond the agreed scope without such written Change Order.

2. Term and Schedule

2.1 Term. The term of this Agreement shall commence on and shall continue for a period of months unless earlier terminated in accordance with Section 11.

2.2 Schedule. Service Provider shall use commercially reasonable efforts to meet the schedule set forth in Exhibit A. Time is of the essence only with respect to material milestones expressly identified as such in the applicable Statement of Work.

3. Compensation and Payment

3.1 Fees. Client shall pay Service Provider for the Services the fees set forth in the applicable Statement of Work or, if none is specified, at the following rates: Labor rate per hour; Equipment and parts billed at cost plus .

3.2 Invoicing and Payment Terms. Service Provider will invoice Client monthly upon submission of time and materials records or upon milestone completion where specified. Client shall pay undisputed invoices within days of receipt. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum lawful rate.

4. Client Responsibilities

Client shall, at its cost, provide access to facilities, necessary permits, accurate equipment history, safety orientation, and such cooperation as reasonably requested by Service Provider. Delays caused by Client obligations shall entitle Service Provider to equitable schedule and price adjustments.

5. Warranties; Disclaimer

5.1 Service Provider warrants that Services will be performed in a professional and workmanlike manner in accordance with industry standards for hydraulic systems for a period of days following completion. If nonconforming Services are reported in writing during the warranty period, Service Provider shall re-perform such Services at no additional charge.

5.2 EXCEPT FOR THE EXPRESS WARRANTED REMEDY ABOVE, SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

6. Confidentiality

Each party shall keep confidential all proprietary technical and business information disclosed by the other that is designated as confidential or that reasonably should be understood to be confidential. Confidential information shall not include information that is or becomes publicly available without breach, is rightfully received from a third party, or is independently developed without use of the other party's confidential information.

7. Intellectual Property

7.1 Preexisting IP. Each party retains ownership of its preexisting intellectual property. Service Provider grants Client a non-exclusive, non-transferable license to use deliverables solely for Client's internal operations.

7.2 Work Product. Subject to Client's payment in full, Service Provider assigns to Client all right, title and interest in and to Work Product specifically created for Client under this Agreement, excluding Service Provider's tools, templates and know-how.

8. Insurance

Service Provider shall maintain insurance customary for the industry, including commercial general liability with limits not less than per occurrence and professional liability (errors and omissions) coverage with limits not less than . Proof of insurance shall be provided upon request.

9. Indemnification

9.1 Service Provider Indemnity. Service Provider shall defend, indemnify and hold harmless Client from and against third-party claims arising out of Service Provider's negligent acts or willful misconduct in performance of the Services, provided Client gives prompt written notice and sole control of the defense to Service Provider.

9.2 Client Indemnity. Client shall indemnify and hold harmless Service Provider from claims arising from Client's negligence, failure to disclose material information, or misuse of deliverables.

10. Limitation of Liability

EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL EXCEED THE TOTAL AMOUNTS PAID BY CLIENT TO SERVICE PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

11.1 Termination for Convenience. Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Client shall pay for Services performed and costs incurred through the effective date of termination.

11.2 Termination for Cause. Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

12. Independent Contractor

Service Provider is an independent contractor. Nothing herein shall be construed to create an employer-employee relationship, partnership, joint venture, or agency for purposes other than those expressly set forth in this Agreement.

13. Compliance with Laws; Safety

Each party shall comply with all applicable laws, regulations and safety rules. Service Provider shall ensure personnel performing Services are trained and qualified and shall comply with Client site safety requirements to the extent disclosed in advance.

14. Notices

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by notice in accordance with this Section. Notices shall be deemed given upon receipt by hand delivery, certified mail, or overnight courier.

15. Amendments; Waiver; Counterparts

This Agreement may be amended only by a written instrument signed by both parties. Failure or delay by either party to enforce any provision shall not constitute a waiver of that provision. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

16. Governing Law; Entire Agreement; Severability

16.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws principles.

16.2 Entire Agreement. This Agreement, together with any exhibits and statements of work referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings.

16.3 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be reformed to the minimum extent necessary to make it enforceable.

17.1 Force Majeure. Neither party shall be liable for delays or failures in performance due to causes beyond its reasonable control, provided the affected party gives prompt notice and resumes performance as soon as practicable.

17.2 Subcontracting. Service Provider may engage subcontractors to perform portions of the Services, provided Service Provider remains responsible for subcontractor performance and compliance with this Agreement.
