PROFESSIONAL SERVICES STATEMENT OF WORK

This Statement of Work (this Statement) is entered into as of Effective Date: by and between Service Provider Name: with principal address and Client Name: with principal address .

RECITALS

WHEREAS, Service Provider is engaged in the business of providing professional services in the area described in Section 1 below and possesses the qualifications, experience and staffing to perform the services contemplated by this Statement;

WHEREAS, Client desires to engage Service Provider to perform certain professional services, and Service Provider is willing to provide such services on the terms and conditions set forth herein; and

WHEREAS, the parties intend for this Statement to set forth the specific services, deliverables, schedule and compensation applicable to the engagement described herein.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. SCOPE OF SERVICES

1.1 Services. Service Provider shall perform the professional services described in the Service Description below (the Services). The Services shall be performed in accordance with the specifications, schedules and performance standards set forth in this Statement.

1.2 Project Personnel. Service Provider shall assign qualified personnel to perform the Services. Primary Project Manager (Service Provider): ; Primary Client Representative: .

2. DELIVERABLES AND ACCEPTANCE

2.1 Deliverables. Service Provider shall deliver the following deliverables in accordance with the schedule and acceptance criteria set forth below.

2.2 Acceptance. Client shall have a period of days from delivery to inspect and either accept or reject a Deliverable for material non-conformance with the applicable acceptance criteria. If Client does not provide written notice of rejection within such period, the Deliverable shall be deemed accepted.

3. FEES, EXPENSES AND PAYMENT

3.1 Fees. Client shall pay Service Provider the fees set forth in this Section. The Fee Structure is:

3.2 Expenses. Client shall reimburse Service Provider for reasonable and pre-approved out-of-pocket expenses incurred in connection with the performance of the Services. Reimbursable expense types and limits are described here:

3.3 Invoicing and Payment. Service Provider shall submit invoices in accordance with the schedule below. Client shall pay invoices in full within days of receipt. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

4. TERM AND TERMINATION

4.1 Term. The term of this Statement shall commence on the Effective Date and shall continue for a period of unless earlier terminated in accordance with this Section.

4.2 Termination for Convenience. Either party may terminate this Statement for convenience upon days' prior written notice to the other party, subject to payment for Services performed and expenses incurred through the effective date of termination.

4.3 Termination for Cause. Either party may terminate this Statement for material breach if such breach remains uncured for a period of days after receipt of written notice specifying the breach in reasonable detail.

5. CHANGE ORDERS

5.1 Any changes to the scope, schedule or fees shall be implemented only by a written Change Order signed by authorized representatives of both parties. Each Change Order shall describe the change, any adjustments to fees or schedule, and the effective date of the change.

6. CONFIDENTIALITY

6.1 Definition. "Confidential Information" means non-public information disclosed by one party to the other, whether marked confidential or apparent from context.

6.2 Obligations. Receiving party shall: (a) use Confidential Information solely to perform this Statement; (b) protect Confidential Information with the same degree of care it uses to protect its own confidential information but no less than reasonable care; and (c) not disclose Confidential Information to third parties except to its employees, contractors and advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein.

6.3 Exceptions and Survival. Confidentiality obligations do not apply to information that is publicly known, rightfully received from a third party without restriction, independently developed, or required to be disclosed by law. Confidentiality obligations survive termination of this Statement for three (3) years, or longer if required by applicable law for specific categories of information.

7. INTELLECTUAL PROPERTY

7.1 Pre-Existing Materials. Each party retains all right, title and interest in and to its pre-existing intellectual property and tools, including any general know-how, techniques and methodologies (Pre-Existing Materials).

7.2 Deliverables. Subject to Client's payment of all amounts due, Service Provider grants Client a perpetual, non-exclusive, worldwide license to use, reproduce and modify the Deliverables for Client's internal business purposes. Service Provider retains ownership of all Service Provider Pre-Existing Materials and any residuals.

8. WARRANTIES; DISCLAIMER

8.1 Performance Warranty. Service Provider warrants that the Services will be performed in a professional and workmanlike manner consistent with industry standards. For any breach of this warranty, Service Provider's sole obligation, and Client's exclusive remedy, shall be re-performance of the deficient Services at no additional cost or, if Service Provider cannot remedy the breach within a commercially reasonable period, a refund of amounts paid for the deficient Services.

8.2 DISCLAIMERS. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN SECTION 8.1, THE SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" AND SERVICE PROVIDER EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. INDEMNIFICATION

9.1 By Service Provider. Service Provider shall indemnify, defend and hold Client and its officers, directors and employees harmless from and against any third-party claims to the extent arising from Service Provider's gross negligence, willful misconduct or material breach of this Statement.

9.2 By Client. Client shall indemnify, defend and hold Service Provider harmless from and against any third-party claims arising from Client's use of the Deliverables other than as authorized by this Statement, or Client's material breach of this Statement.

10. LIMITATION OF LIABILITY

10.1 CAP ON LIABILITY. EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR BREACH OF CONFIDENTIALITY OR INDEMNITY OBLIGATIONS, IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS STATEMENT EXCEED THE AMOUNTS ACTUALLY PAID BY CLIENT TO SERVICE PROVIDER UNDER THIS STATEMENT DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. INSURANCE

11.1 Insurance. Service Provider shall maintain commercial general liability and professional liability insurance with limits customary for the industry. Upon request, Service Provider shall provide certificates of insurance evidencing such coverage.

12. NOTICES

12.1 All notices required or permitted under this Statement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate in writing pursuant to this Section. Notices shall be deemed given when delivered by hand, by certified mail, or by nationally recognized overnight courier.

13. AMENDMENTS; WAIVER; COUNTERPARTS

13.1 Amendments. No amendment to this Statement shall be effective unless in writing and signed by authorized representatives of both parties.

13.2 Waiver. No failure or delay by either party in exercising any right shall operate as a waiver of that right. A waiver must be in writing.

13.3 Counterparts. This Statement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Signatures delivered by electronic means shall be binding.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

14.1 Governing Law. This Statement and any dispute arising out of or relating to it shall be governed by the laws of the jurisdiction specified below, without regard to conflict of law principles.

14.2 Entire Agreement. This Statement, together with any exhibits or Change Orders executed in accordance with Section 5, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral.

14.3 Severability. If any provision of this Statement is held to be invalid or unenforceable, such provision shall be reformed only to the extent necessary and the remaining provisions shall continue in full force and effect.
