PROFESSIONAL SME AGREEMENT

This Professional SME Agreement (the "Agreement") is entered into as of by and between Client Name: with its principal address at (\"Client\") and Subject Matter Expert Name: with business address at (\"SME\").

RECITALS

WHEREAS, Client requires the services of a qualified subject matter expert to provide professional advisory, training, and deliverables described herein; and

WHEREAS, SME represents that SME possesses the experience, qualifications, personnel, and ability to perform the services in a professional manner consistent with industry standards; and

WHEREAS, Client and SME desire to set forth the terms and conditions under which SME will provide such services to Client.

NOW THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Services" means the professional tasks, deliverables, and advisory work to be provided by SME to Client as specified in Section 2. 1.2 "Deliverables" means tangible work product, reports, analyses, and materials prepared by SME for Client under this Agreement.

2. ENGAGEMENT; SCOPE OF SERVICES

2.1 Engagement. Client engages SME, and SME accepts such engagement, to perform the Services set forth below in accordance with the terms and conditions of this Agreement.

3. TERM; TERMINATION

3.1 Term. The Agreement commences on the Effective Date set forth above and continues until completion of the Services or termination in accordance with this Section. The initial anticipated completion date is .

3.2 Termination for Convenience. Either party may terminate this Agreement for convenience upon days' prior written notice to the other party.

3.3 Termination for Cause. Either party may terminate immediately for cause upon written notice if the other party materially breaches this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

4. COMPENSATION; EXPENSES

4.1 Fees. Client shall pay SME for Services in the amounts and on the schedule set forth below.

5. CONFIDENTIALITY

5.1 Definition. "Confidential Information" means information disclosed by one party to the other that is designated confidential or which a reasonable person would understand to be confidential, including business plans, technical information, trade secrets, and client data.

5.2 Obligations. Each party shall (a) hold Confidential Information in strict confidence, (b) not disclose Confidential Information except to its employees, contractors or agents with a need to know under confidentiality obligations no less protective than this Agreement, and (c) not use Confidential Information except to perform its obligations under this Agreement.

5.3 Exclusions. Confidential Information does not include information that is or becomes publicly available without breach, or is rightfully obtained from a third party not subject to a confidentiality obligation.

5.4 Duration. Confidentiality obligations shall survive termination of this Agreement for a period of years.

6. INTELLECTUAL PROPERTY

6.1 Ownership of Preexisting IP. Each party retains all right, title and interest in its preexisting intellectual property and any tools, methodologies or know-how used in performing the Services.

6.2 Work Product. Subject to payment in full, SME hereby assigns to Client all right, title and interest in and to Deliverables prepared specifically for Client under this Agreement. SME retains the right to use general skills, knowledge and experience acquired in performing the Services, provided no Confidential Information or Client-specific work product is disclosed or used.

6.3 Moral Rights. To the extent permitted, SME hereby waives and agrees not to assert any moral rights in the Deliverables against Client.

7. INDEPENDENT CONTRACTOR

SME is an independent contractor and not an employee, partner or agent of Client. SME is solely responsible for all taxes, withholding, benefits and other obligations arising from the performance of the Services.

8. WARRANTIES

SME warrants that (a) Services will be performed in a competent and professional manner consistent with industry standards, and (b) SME has the authority to enter into this Agreement and to grant the rights granted herein. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, SME DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

9. INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against third-party claims, liabilities, damages and expenses arising from the indemnifying party's gross negligence, willful misconduct or material breach of this Agreement; provided that the indemnified party gives prompt written notice of any such claim and cooperates in the defense.

10. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR BREACH OF CONFIDENTIALITY OR INDEMNIFICATION OBLIGATIONS, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES. EXCEPT AS PROVIDED IN THE PRECEDING SENTENCE, EACH PARTY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE BY CLIENT TO SME UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11. INSURANCE

SME shall maintain commercially reasonable insurance coverage, including professional liability and general liability insurance, in amounts sufficient to cover SME's obligations under this Agreement. Upon request, SME shall provide certificates of insurance reasonably acceptable to Client.

12. RECORDS; AUDIT

SME shall keep accurate records of hours, expenses and other items for which Client will be invoiced. Client may, upon reasonable notice, audit such records during normal business hours for a period of up to two (2) years following final payment.

13. COMPLIANCE

Each party shall comply with all applicable laws, regulations and professional standards in performing its obligations under this Agreement, including applicable data protection and export control laws.

14. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or such other address as a party may designate by written notice.

15. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument signed by both parties. No waiver shall be effective unless in writing and signed by the party to be charged. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

16. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state/province specified by Client jurisdiction: without regard to conflict of laws principles.

17. ENTIRE AGREEMENT

This Agreement, including any exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral.

18. SEVERABILITY

If any provision of this Agreement is held invalid, illegal or unenforceable in any respect, the remainder of this Agreement shall remain in full force and effect and the invalid provision shall be reformed to the extent permitted by law to give effect to the parties' intent.

19. MISCELLANEOUS

19.1 Assignment. Neither party may assign this Agreement without the prior written consent of the other party, except that Client may assign this Agreement to an affiliate or in connection with a merger or sale of substantially all of its assets. 19.2 Relationship of Parties. The parties acknowledge that they do not intend to create any fiduciary relationship by this Agreement.
