PROFESSIONAL SUBCONTRACTOR SERVICES AGREEMENT

This Professional Subcontractor Services Agreement ("Agreement") is entered into as of by and between Prime Contractor: , a Individual Corporation LLC, and Subcontractor: , a Individual Corporation LLC.

RECITALS

WHEREAS, Prime Contractor engages in the business of providing professional services and has entered into or anticipates entering into one or more contracts with third parties for projects requiring specialized services;

WHEREAS, Subcontractor represents that it has the skill, experience, personnel, equipment, and licensure necessary to perform certain portions of such work;

WHEREAS, the parties desire to set forth the terms and conditions pursuant to which Subcontractor will perform services for Prime Contractor on the terms set forth below;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. SCOPE OF SERVICES

1.1 Services. Subcontractor shall perform the services described in Exhibit A attached hereto (the "Services"). Exhibit A shall specify in reasonable detail the deliverables, milestones, and performance standards. If Exhibit A is not attached at execution, the parties shall promptly complete Exhibit A and it shall be incorporated by reference.

1.2 Schedule. Subcontractor shall commence the Services on and shall substantially complete the Services by , subject to adjustments for excusable delays as provided in this Agreement.

2. COMPENSATION

2.1 Fees. Prime Contractor shall pay Subcontractor for the Services a total consideration equal to (the "Fee"), subject to adjustments for change orders executed in writing by the parties.

2.2 Expenses. Unless otherwise agreed in writing, Subcontractor shall be responsible for all expenses and overhead incurred in performing the Services. Reimbursable expenses, if any, must be pre-approved in writing and invoiced with supporting documentation.

3. INVOICING AND PAYMENT

3.1 Invoices. Subcontractor shall submit invoices to Prime Contractor in the form and frequency described below:

3.2 Withholding; Setoff. Prime Contractor may withhold or set off amounts due from Subcontractor for defective work, unsettled claims, or other liabilities arising under this Agreement, subject to prior written notice and a reasonable opportunity to cure.

4. INDEPENDENT CONTRACTOR; EMPLOYEES

4.1 Independent Contractor Status. Subcontractor is an independent contractor and not an employee, partner, or joint venturer of Prime Contractor. Subcontractor shall control the means and methods of performing the Services and shall furnish all labor, materials, tools, equipment, and supervision necessary to complete the Services, except as expressly provided otherwise in this Agreement.

4.2 Taxes and Benefits. Subcontractor shall be solely responsible for all payroll, income, and other taxes, benefits, insurance, and worker compensation for its personnel.

5. CONFIDENTIALITY

5.1 Confidential Information. "Confidential Information" means nonpublic information disclosed by a party in connection with this Agreement, including business, technical and project information, trade secrets, plans, and client data. Subcontractor shall hold Confidential Information in confidence and shall not disclose or use such information except as necessary to perform the Services or with written authorization.

5.2 Exclusions; Return. Confidential Information does not include information that is or becomes publicly available through no breach by the receiving party, was known prior to disclosure, or is independently developed. Upon request, Subcontractor shall return or destroy Confidential Information and certify such return or destruction.

6. INTELLECTUAL PROPERTY

6.1 Work Product. Unless otherwise agreed in writing, all original works of authorship, inventions, discoveries, designs, processes, software, and other deliverables developed by Subcontractor specifically for Prime Contractor in the performance of the Services ("Work Product") shall be deemed work made for hire and shall be the exclusive property of Prime Contractor. To the extent ownership cannot be assigned by operation of law, Subcontractor hereby assigns to Prime Contractor all right, title and interest in and to such Work Product.

6.2 Preexisting Materials. Subcontractor shall identify in writing any preexisting materials used in the Work Product and hereby grants Prime Contractor a perpetual, royalty-free, nonexclusive license to use such preexisting materials to the extent incorporated in the Work Product.

7. INSURANCE

7.1 Insurance Required. Subcontractor shall maintain insurance policies with limits reasonably acceptable to Prime Contractor, including commercial general liability, professional liability (if applicable), automobile liability (if applicable), and workers' compensation. At Prime Contractor's request, Subcontractor shall provide certificates of insurance evidencing such coverage and naming Prime Contractor as an additional insured on required policies.

8. INDEMNIFICATION AND LIMITATION OF LIABILITY

8.1 Indemnification by Subcontractor. Subcontractor shall indemnify, defend, and hold harmless Prime Contractor and its officers, directors, employees, agents and clients from and against all claims, losses, damages, liabilities, and expenses, including reasonable attorneys' fees, arising out of or resulting from Subcontractor's performance of the Services, negligent acts or omissions, or breach of this Agreement.

8.2 Limitation of Liability. Except for liability arising from gross negligence, willful misconduct, or Subcontractor's indemnification obligations under this Agreement, neither party's aggregate liability for any claim arising out of or relating to this Agreement shall exceed the total fees actually paid to Subcontractor under this Agreement during the twelve (12) month period preceding the claim.

9. COMPLIANCE WITH LAWS; LICENSES

9.1 Compliance. Subcontractor shall comply with all applicable federal, state, and local laws, regulations, ordinances, codes, and licensing requirements in performing the Services. Subcontractor shall obtain and maintain all permits and licenses required to perform the Services and shall provide evidence of such licenses upon request.

10. SUBCONTRACTING AND ASSIGNMENT

10.1 Assignment. Neither party may assign or transfer this Agreement or any rights or obligations hereunder without the prior written consent of the other party, except that Prime Contractor may assign this Agreement to an affiliate or successor in connection with a corporate reorganization or sale.

10.2 Subcontracting. Subcontractor shall not subcontract any material portion of the Services without Prime Contractor's prior written consent. Subcontractor shall remain fully responsible for the acts and omissions of any permitted subcontractors and for compliance with this Agreement.

11. TERMINATION

11.1 Termination for Convenience. Prime Contractor may terminate this Agreement for convenience upon days' prior written notice to Subcontractor. In such event, Subcontractor shall be entitled to payment for Services rendered and reasonable costs incurred prior to termination, subject to setoffs and deductions for defective work.

11.2 Termination for Cause. Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

12. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below by certified mail, nationally recognized overnight courier, or personal delivery, and shall be effective upon receipt.

13. AMENDMENT; WAIVER; COUNTERPARTS

13.1 Amendment. This Agreement may be amended only by a written instrument signed by both parties.

13.2 Waiver. No waiver of any breach shall be effective unless in writing and signed by the waiving party. No waiver of any breach shall constitute a waiver of any subsequent breach.

13.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument. Signatures transmitted by electronic means shall be binding.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

14.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to conflict of laws principles.

14.2 Entire Agreement. This Agreement, including any exhibits and written change orders, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written.

14.3 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be construed so as to effect the original intent of the parties as closely as possible.

15. MISCELLANEOUS

15.1 Remedies. Except as otherwise limited herein, the rights and remedies provided in this Agreement are cumulative and in addition to any other rights or remedies available at law or in equity.

15.2 Relationship with Prime Contractor's Clients. Subcontractor shall perform the Services in a manner that is consistent with the terms of Prime Contractor's contracts with its clients and shall cooperate with Prime Contractor in satisfying client requirements. To the extent of any conflict between this Agreement and Prime Contractor's client contract, Prime Contractor shall provide Subcontractor with written direction and the parties shall negotiate any resulting equitable adjustment.
