PROFESSIONAL TRAINING CONTRACT

RECITALS

WHEREAS, Trainer is engaged in the business of providing professional training, instruction, and related educational services using qualified instructors and training materials tailored to corporate and individual clients;

WHEREAS, Client desires to obtain from Trainer certain training services described herein, and Trainer is willing to provide such services under the terms and conditions set forth in this Contract;

WHEREAS, the parties intend by this Contract to set forth their respective rights and obligations with respect to the provision, payment for, and use of the training services and any related materials;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree as follows:

1. DEFINITIONS

1.1. "Training Services" means the instruction, workshops, seminars, coaching sessions, and any ancillary services to be provided by Trainer as described in Section 2. "Materials" means written, electronic, visual, and other instructional content prepared or provided by Trainer in connection with the Training Services. "Deliverables" means any reports, assessments, or certificates delivered to Client upon completion of Training Services.

2. SCOPE OF TRAINING SERVICES

2.1. Description. Trainer shall provide the Training Services as follows:

3. TRAINER RESPONSIBILITIES

Trainer shall (a) provide qualified instructors and adequately prepared Materials; (b) perform the Training Services in a professional manner consistent with industry standards; (c) comply with all applicable laws, regulations and Client site policies while on Client premises; and (d) maintain appropriate records of attendance and performance. Trainer shall ensure that any subcontractors engaged in delivery are bound by obligations at least as protective as those in this Contract.

4. CLIENT RESPONSIBILITIES

Client shall (a) provide suitable facilities, equipment, and access as reasonably requested by Trainer; (b) ensure participant attendance and cooperation; (c) deliver any required information and approvals in a timely manner; and (d) comply with Trainer's reasonable health, safety, and security requirements while on Client premises.

5. FEES, EXPENSES, AND PAYMENT

Client shall reimburse Trainer for pre-approved travel and out-of-pocket expenses incurred in connection with the Training Services. Such expenses will be invoiced and payable within days of invoice. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

6. MATERIALS AND INTELLECTUAL PROPERTY

All Materials and Deliverables produced by Trainer are the exclusive intellectual property of Trainer unless otherwise expressly agreed in writing. Trainer grants Client a non-exclusive, non-transferable, revocable license to use the Materials solely for Client's internal training purposes. Client shall not reproduce, distribute, or create derivative works from the Materials except as permitted in writing by Trainer.

7. CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in strict confidence and shall not disclose to any third party any Confidential Information disclosed by the other party (the "Disclosing Party"), except as necessary to perform this Contract or as required by law. Confidential Information excludes information that (a) is or becomes public through no breach by the Receiving Party; (b) is rightfully received from a third party without restriction; or (c) is independently developed without use of the Disclosing Party's Confidential Information. Upon termination or request, Receiving Party shall return or destroy Confidential Information as directed by Disclosing Party.

8. DATA PROTECTION

To the extent the Training Services involve personal data, the parties shall process such data in accordance with applicable data protection laws. Each party shall implement appropriate technical and organizational measures to protect personal data against unauthorized processing and accidental loss, destruction or damage.

9. WARRANTIES; DISCLAIMER

Trainer warrants that the Training Services will be provided in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, TRAINER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

10. INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party and its officers, directors and employees from and against any third-party claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising from (a) the indemnifying party's breach of this Contract; or (b) the negligence or willful misconduct of the indemnifying party in connection with performance of its obligations hereunder.

11. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT OR A BREACH OF CONFIDENTIALITY OR INDEMNITY OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES. THE AGGREGATE LIABILITY OF EITHER PARTY FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THIS CONTRACT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY CLIENT TO TRAINER UNDER THIS CONTRACT.

12. INSURANCE

Trainer shall maintain insurance coverage appropriate to the Training Services, including commercial general liability and professional liability insurance in commercially reasonable amounts. Upon request, Trainer shall provide certificates of insurance evidencing such coverage.

13. TERM AND TERMINATION

This Contract shall commence on the Effective Date set forth above and continue until completion of the Training Services, unless earlier terminated as provided herein. Either party may terminate this Contract for material breach if the breaching party fails to cure such breach within days after written notice. Client may terminate for convenience upon days' written notice, subject to payment for services performed through the effective date of termination and any non-cancellable commitments incurred by Trainer.

14. REMEDIES; WAIVER

The remedies provided in this Contract are cumulative and in addition to any other remedies available at law or in equity. Failure by either party to enforce any provision of this Contract shall not constitute a waiver of that provision or any other provision.

15. NOTICES

All notices required or permitted under this Contract shall be in writing and delivered to the addresses below (or to such other address as a party designates by written notice). Notices shall be deemed given on the date of delivery if delivered personally or by nationally recognized overnight courier, or three (3) business days after deposit in the mail if sent by certified mail, return receipt requested.

16. AMENDMENTS

This Contract may be amended only by a written instrument signed by authorized representatives of both parties. No oral modification shall be binding.

17. GOVERNING LAW

This Contract shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles.

18. ENTIRE AGREEMENT; SEVERABILITY; COUNTERPARTS

This Contract, together with any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations and understandings. If any provision of this Contract is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. This Contract may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
