PROFFER AGREEMENT

This Proffer Agreement (the Agreement) is entered into as of by and between Proffering Party: and Government Representative: .

RECITALS

WHEREAS, the Government is conducting an investigation involving (the Investigation), which is assigned case number and arises in the jurisdiction of .

WHEREAS, the Proffering Party is willing to meet with the Government to provide information, statements and documents regarding the Investigation in exchange for the protections set forth in this Agreement; and

WHEREAS, the parties desire to set forth the terms and limits regarding the use and disclosure of statements and materials provided during a proffer session.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement: (a) "Proffer Session" means the meeting(s) between the Proffering Party (or the Proffering Party's counsel) and the Government in which the Proffering Party provides statements or documents; (b) "Proffer Materials" means all oral statements, written statements, documents, records and tangible things provided by the Proffering Party during the Proffer Session; and (c) "Government" means the Government Representative and any other federal, state or local prosecutorial personnel or law enforcement agents who attend or receive summaries of the Proffer Materials as expressly permitted herein.

3. LIMITED USE OF STATEMENTS

Except as expressly provided in this Agreement, the Government agrees that it will not use any Proffer Materials provided by the Proffering Party during the Proffer Session, nor any direct derivative evidence derived solely from those Proffer Materials, against the Proffering Party in the Government's case-in-chief in a criminal prosecution. The protection provided by this paragraph is limited in scope and does not prevent the Government from using: (a) statements that are independently obtained by the Government without any reliance upon Proffer Materials; (b) evidence or information derived from other sources known to the Government prior to the Proffer Session; or (c) the Proffer Materials for purposes of impeaching the Proffering Party in a criminal proceeding where the evidence offered for impeachment consists of statements that are willfully false, deliberately misleading, or constitute perjury, false statement, obstruction of justice or any related offense.

4. NO GRANT OF IMMUNITY UNLESS SPECIFIED

The parties acknowledge that this Agreement does not by its terms grant transactional or use-and-derivative immunity, nor does it preclude prosecution of the Proffering Party for any crime, unless the Government has executed the checkbox below to grant a specific, limited immunity, and has attached a written description of the scope of such immunity.

5. COOPERATION AND TRUTHFULNESS

The Proffering Party warrants and represents that all statements made in the Proffer Session will be made truthfully to the best of the Proffering Party's knowledge. The Proffering Party acknowledges that making materially false statements, omitting material information, or otherwise attempting to mislead the Government may subject the Proffering Party to prosecution, and may void any protections offered under this Agreement with respect to the specific false statement or omission.

6. DOCUMENTS AND RECORDING

The Government may make contemporaneous notes, summaries or recordings of the Proffer Session. The Proffering Party may provide documents or other tangible items, which shall be identified as Proffer Materials. Except as otherwise provided herein, the parties agree that originals and copies of Proffer Materials shall be maintained by the Government and may be used as permitted by this Agreement.

7. CONFIDENTIALITY AND DISCLOSURE

Except as provided herein, the Government will not disclose Proffer Materials to third parties except (a) as necessary for investigative or prosecutorial purposes connected to the Investigation; (b) to other government personnel whose duties require knowledge of the Proffer Materials; (c) as required by law or court order; or (d) to obtain independent evidence or to protect public safety. Any disclosure pursuant to a court order shall be subject to reasonable notice to the Proffering Party where practicable.

8. PRIVILEGE AND WAIVER

Nothing in this Agreement is intended to waive any applicable privilege unless the Proffering Party expressly executes a separate written waiver. The Proffering Party represents that, except as disclosed to the Government in writing, the Proffering Party has authority to provide the Proffer Materials and that doing so will not violate any contractual, fiduciary, or legal obligation to any third party.

9. REMEDIES

The parties agree that monetary damages may be inadequate to remedy a breach of this Agreement and that each party shall be entitled to seek equitable relief, including injunctive relief or specific performance, in addition to any other remedies available at law or in equity, provided that nothing herein limits the Government's right to disclose Proffer Materials as permitted by this Agreement or by operation of law.

The Proffering Party represents that the Proffering Party has full authority to enter into this Agreement and that the execution and performance of this Agreement will not violate any law or contractual obligation. The Government represents that the Government Representative executing below has the authority to bind the Government for the limited purposes stated herein.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Government Representative is authorized to act, without regard to conflicts of law principles.

13. ENTIRE AGREEMENT; AMENDMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements. This Agreement may be amended or modified only by a written instrument executed by the parties. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. WAIVER; COUNTERPARTS

No waiver of any provision of this Agreement shall be effective unless in writing and signed by the party waiving compliance. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
