PROFIT INTEREST AGREEMENT

Recitals

This Profit Interest Agreement (the Agreement) is entered into by and between the Company identified above and the Recipient identified above. The Company desires to grant to the Recipient a profit interest in the Company in accordance with the terms and conditions set forth below to provide the Recipient an economic interest measured by a percentage of future profits and distributions.

Grant

Subject to the terms of this Agreement and the Company's organizational documents, the Company hereby grants to Recipient a profit interest representing of the Company's profits, losses and distributions (the Profit Interest), on the Effective Date above.

Definitions

For purposes of this Agreement, the following terms shall have the meanings set forth herein. "Allocable Profits" means the net taxable income or loss attributable to the Company for a fiscal period as determined in accordance with the Company's governing agreement and applicable law. "Capital Account" shall be maintained in accordance with the Company's governing agreement. "Good Reason" and "Cause" shall have the meanings set forth in the Recipient's service agreement, if any.

Vesting and Forfeiture

The Profit Interest shall vest according to the schedule set forth below, subject to the Recipient's continued service with the Company through each applicable vesting date. Vesting Commencement Date:

Upon termination of Recipient's service for Cause, all unvested Profit Interest shall be forfeited. Upon termination without Cause, the Company may, in its sole discretion, accelerate vesting or repurchase vested interests in accordance with Section 7 below.

Capital Accounts; Allocations and Distributions

The Profit Interest shall entitle Recipient to allocations of Allocable Profits and distributions of available cash to the extent provided in this Agreement and the Company's governing agreement. The Profit Interest shall not entitle Recipient to a return of contributed capital unless expressly provided by the governing agreement.

Tax Treatment & Section 83(b)

The parties acknowledge that the Profit Interest is intended to be a profits-only interest that, if properly structured, should not entitle Recipient to a distribution of capital upon a liquidation that predates vesting. Recipient is solely responsible for all federal, state and local tax liabilities arising from the grant, vesting or disposition of the Profit Interest.

Recipient is advised that an election under applicable tax rules (commonly known as an election) may be available to treat certain transfers as taxable upon grant. Recipient may disclaim or make any election at Recipient's discretion. Check if Recipient desires to be reminded to consider an election:

Restrictions on Transfer

The Profit Interest is subject to restrictions on transfer as set forth in the governing agreement. Any attempted transfer without the Company's prior written consent shall be null and void. Transfers by operation of law upon death are permitted only to the extent provided by the governing agreement.

Repurchase; Buyback

In the event of termination of Recipient's service, the Company shall have the option to repurchase all or a portion of the Recipient's Profit Interest. Purchase price shall be determined in accordance with the governing agreement or, if no valuation procedure applies, as follows: Fair market value determined by the Board in good faith, or a formula purchase price of as of the termination date.

Representations and Warranties

Recipient represents and warrants that Recipient has the capacity and authority to enter into this Agreement, that acceptance of the Profit Interest will not violate any obligation of Recipient, and that Recipient is acquiring the Profit Interest for Recipient's own account and not with a view to distribution in violation of applicable securities laws.

Confidentiality; Non-Competition

Recipient agrees to keep confidential the terms of this Agreement and confidential Company information. Any separate non-competition or proprietary information agreement between the parties shall continue to apply and, if conflicting, the more restrictive provision shall govern to the extent enforceable by law.

Indemnification

The Company shall indemnify and hold harmless Recipient from and against any losses, liabilities, claims and expenses arising out of Recipient's good faith performance of duties on behalf of the Company, except as limited by applicable law or the governing agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved in the courts located in that state unless the parties agree in writing to arbitration.

Notices to the parties shall be sent to the addresses set forth below or to such other address as a party may designate in writing.

Amendment; Binding Effect

This Agreement may be amended only by a written instrument signed by both the Company and Recipient. This Agreement shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and shall not affect interpretation.
