Recitals

WHEREAS, Client Name: and Service Provider: desire to set forth the terms under which the Service Provider will provide business advisory, consulting, informational materials, and ancillary services as described below; and

WHEREAS, this ProForma Business Disclaimer and Agreement establishes the allocation of responsibilities, the disclaimer of certain liabilities and warranties, and the payment and term conditions applicable to the relationship between the parties, effective as of Effective Date: .

Scope of Work

The Service Provider will perform the services, analyses, and deliverables described below. The parties acknowledge that the Scope of Work defines only the services expressly agreed; any additional services shall require a written amendment signed by both parties.

Payment Terms

Client shall pay the Service Provider the fees set forth below in consideration for the Scope of Work. Amounts are exclusive of applicable taxes unless otherwise stated.

Overdue amounts shall accrue interest at the rate of (the "Late Fee"), and Client shall be responsible for all reasonable collection costs, including attorneys' fees, incurred by the Service Provider in collecting overdue amounts.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice delivered no fewer than Notice Period (days): days prior to the effective termination date. Either party may terminate immediately upon material breach by the other party that remains uncured for a period of thirty (30) days after written notice of such breach.

Disclaimer; Limitation of Liability

The Service Provider provides services and materials on a best-efforts basis. The Client acknowledges and agrees that the Service Provider does not guarantee any specific business outcomes, financial results, or regulatory approvals. All information, recommendations, and deliverables are provided "AS IS" and without warranty of any kind, whether express, implied, statutory, or otherwise, including, without limitation, any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

Except for liability arising from willful misconduct or gross negligence, in no event shall the Service Provider's aggregate liability arising out of or related to this Agreement exceed the total fees actually paid by Client to the Service Provider under this Agreement during the twelve (12) month period preceding the claim.

Confidentiality

Each party shall maintain in confidence all Confidential Information disclosed by the other party and shall not use such Confidential Information except as necessary to perform its obligations under this Agreement. "Confidential Information" means non-public information designated as confidential or which a reasonable person would consider confidential given the nature of the information and the circumstances of disclosure.

Confidential Information does not include information that: (a) is or becomes generally known to the public through no fault of the receiving party; (b) is rightfully received from a third party without breach of any obligation of confidentiality; (c) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information; or (d) is required to be disclosed by law, provided the receiving party gives prompt notice to the disclosing party and limits disclosure to the extent required.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located therein for resolution of disputes arising under this Agreement.

Entire Agreement

This Agreement, including any attachments or written amendments executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

The parties acknowledge that the Service Provider may perform services as an independent contractor. Nothing in this Agreement creates an employer-employee relationship, joint venture, partnership, or agency. Client is responsible for all decisions regarding implementation of recommendations and for obtaining independent professional advice where appropriate.
