The receiving party shall not use or disclose such Confidential Information except as necessary to perform under this Modification or as required by law.

Confidentiality obligations shall survive termination of this Modification for a period of years.

5. Governing Law

This Modification shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. Venue for any action arising out of this Modification shall be in the courts located in .

6. Entire Agreement; Effect of Modification

Except as expressly amended by this Modification, the Original Agreement remains in full force and effect.
