PROGRAM PARTICIPATION PLEDGE

RECITALS

WHEREAS, Program Provider operates or administers the program identified as: (the "Program"), which offers educational, training, or activity-based services to enrolled participants; and

WHEREAS, Participant desires to enroll in the Program and agrees to abide by the Program rules, schedules, and obligations set forth in this Participation Pledge; and

WHEREAS, the parties desire to set forth in writing their mutual commitments, payment terms, confidentiality obligations, and the process for termination of participation.

SCOPE OF WORK

Participant will participate in the Program as described below. Participant acknowledges that performance of the Program may require attendance, completion of assignments, adherence to safety protocols, and cooperation with Program staff.

PAYMENT TERMS

Participant agrees to pay Program Provider the fees set forth below in consideration for participation in the Program.

All fees are non-refundable except as expressly provided in the Term and Termination section below. Failure to pay any amount when due is a material breach and may result in suspension or termination of Participant's rights under this Pledge.

TERM AND TERMINATION

This Participation Pledge is effective as of: and continues until: unless earlier terminated in accordance with this section.

Either party may terminate this Pledge for convenience upon providing written notice to the other party at least days prior to the intended termination date. Program Provider may immediately suspend Participant's participation without notice if Participant fails to comply with safety rules, payment obligations, or materially breaches any obligation herein.

Termination for cause by either party shall be effective immediately upon written notice if the other party: (a) materially breaches this Pledge and does not cure the breach within 14 days following receipt of written notice specifying the breach; or (b) becomes insolvent or subject to bankruptcy proceedings.

CONFIDENTIALITY

For purposes of this Pledge, "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given its nature. Each party agrees to: (a) hold Confidential Information in strict confidence; (b) use Confidential Information only to perform obligations under this Pledge; and (c) not disclose Confidential Information to any third party except to its employees or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential Information does not include information that is or becomes publicly known through no breach of this Pledge, was known to the receiving party prior to disclosure, or is required to be disclosed by law or court order (provided the receiving party gives prompt notice to the disclosing party to allow a protective order).

LIABILITY, ASSUMPTION OF RISK, AND INSURANCE

Participant acknowledges that participation in the Program may involve certain risks. Participant voluntarily assumes all risks associated with participation, whether known or unknown. To the fullest extent permitted by law, Participant releases, waives, and holds harmless Program Provider, its officers, employees, agents, and affiliates from any and all claims, liabilities, damages, or expenses arising out of Participant's participation except where caused by the gross negligence or willful misconduct of Program Provider.

Participant represents that Participant has no medical or physical condition that would preclude safe participation in the Program, or has obtained medical clearance from a licensed healthcare provider. Participant agrees to maintain appropriate personal insurance and to provide proof of insurance upon request.

GOVERNING LAW

This Participation Pledge shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Any action arising out of or related to this Pledge shall be brought exclusively in the state or federal courts located in the same state, and the parties hereby submit to the jurisdiction of such courts.

ENTIRE AGREEMENT; AMENDMENT

This Pledge, together with any written attachments or schedules referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, or communications, whether oral or written. Any amendment to this Pledge must be in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Pledge is held invalid or unenforceable, such provision will be severed and the remaining provisions will remain in full force and effect. Neither party may assign this Pledge without the prior written consent of the other party, except that Program Provider may assign to an affiliate or successor entity in connection with a sale of substantially all of its assets or business. Notices required under this Pledge shall be in writing and delivered to the addresses provided below.

By signing below, Participant certifies and agrees to the following:

  Participant has read, understands, and will comply with all Program rules, safety protocols, and schedules set by Program Provider.

  Participant represents they are physically and mentally capable of participating in the Program or have obtained appropriate medical clearance.

  Participant accepts the release and assumption of risk provisions set forth above and agrees to indemnify Program Provider for claims arising from Participant's willful misconduct or breach of this Pledge.
