What a Project Additions Agreement Is and When It Applies

A Project Additions Agreement is a written amendment to an existing contract that documents changes to scope, cost, schedule, or materials for a defined project. It creates a binding update to the original contract by listing added work, adjusted payment terms, revised completion dates, and any new responsibilities. Parties should use an additions agreement whenever the owner, contractor, or subcontractor agrees to extra tasks or variations that were not in the initial scope. The agreement reduces disputes by recording approvals, signatures, and any required supporting documents such as revised plans or change-order pricing.

Why a Clear Additions Agreement Matters

A well-drafted Project Additions Agreement preserves the original contract terms while adding definitional clarity, protecting payment expectations, and documenting acceptance of changes by all parties.

Why a Clear Additions Agreement Matters

Who Typically Prepares and Signs This Agreement

Each signer should have authority to bind their organization and acknowledge revised schedule, cost, and warranty implications before executing the agreement.

  • General contractors who authorize extra work and need payment assurance within the project budget.
  • Property owners or developers seeking documented cost and schedule changes before work proceeds.
  • Project managers or architects who record approved specification or plan changes during construction.

Core Elements to Include in a Professional Additions Agreement

Include discrete sections that describe the added work, adjusted compensation, revised timeline, approvals, insurance and lien waivers, and a clear signature block to establish enforceability.

Scope

Precise description of added tasks, deliverables, materials, and references to revised plans or drawings, including technical specifications where applicable.

Pricing

Payment method and new amounts, whether lump-sum or unit pricing, invoicing schedule, retainage changes, and any allowances or contingencies.

Schedule

Revised milestone dates, completion deadline, and delay allowances tied to the additions, including any acceleration or extension terms.

Approvals

Identifies who approved the change, whether written acceptance from the owner or architect is required, and any conditional approvals.

Liens & Insurance

Statements on lien waiver requirements, bonds, insurance coverage for added work, and responsibility for permitting fees or inspections.

Signatures

Full signature block with printed name, title, date, and an indication of capacity to bind the party; state choice of law if needed.

Step-by-Step: How to Complete a Project Additions Agreement

Follow a simple sequence to draft, approve, and execute an additions agreement with minimal administrative friction.

  • 01
Draft: Describe added work and attach supporting documents.
  • 02
Price: Calculate added cost and payment milestones.
  • 03
Review: Circulate to stakeholders and obtain written approvals.
  • 04
Execute: Collect signatures and distribute fully executed copies.

How to Configure an Online Workflow for Additions Agreements

Set up a repeatable digital workflow that preserves the audit trail and routes the agreement to the right approvers.

Field Configuration
Signer Order Sequential or parallel routing to ensure approvals occur in proper order
Required Fields Mark scope, price, and date fields as mandatory to prevent incomplete submissions
Authentication Use email link or SMS code; add KBA for higher-assurance signers
Retention Store executed PDF with audit trail and version history

Where and How to Send the Completed Agreement

Use consistent routing so signatures are collected, copies are distributed, and the project file is updated without delay.

  • Owner: Send executed copy to owner for records and payment processing.
  • Contractor: Provide contractor copy to update schedules and procurement.
  • Subcontractor: Notify impacted subs with revised scope and payment terms.
  • Project File: Archive executed agreement in the contract administration folder.

Digital Signing and File Sharing: Platform Essentials

Ensure the chosen service complies with ESIGN/UETA and supports retention of an auditable certificate of completion for dispute defense.

  • Formats Supported: PDF, DOCX, and fillable forms
  • Integrations: NetSuite, Salesforce, Procore integrations
  • Authentication: Email, SMS, or advanced auth

Typical Deadlines and Response Windows for Additions

Establish clear timing for pricing responses, approvals, and execution to avoid delays and potential claims.

Pricing Response Window:

Contractor provides cost estimate within 7–14 calendar days unless contract specifies otherwise

Owner Approval Period:

Owner approves or objects within 7–21 days based on contract terms

Execution Deadline:

All parties sign before work begins or compensation entitlement may be affected

Invoice Timing:

Submit change-order invoices per monthly billing cycle or as agreed

Dispute Notice:

Provide written notice of disagreement within 14–30 days to preserve claims

Key Milestones from Request to Execution

A sequential milestone view helps teams track the change-order lifecycle and maintain accountability for each stage.

01

Request Submitted

Owner or contractor documents change request with scope and reason.

02

Estimate Prepared

Contractor produces price and schedule impact for review.

03

Approvals Obtained

Relevant parties sign to authorize the added work.

04

Work Executed

Perform and invoice added work according to the revised agreement.

Common Mistakes to Avoid When Preparing an Additions Agreement

  • Using vague language for the added scope, which creates disputes over what was intended and who is responsible.
  • Failing to update schedule impacts, leading to overlapping tasks and claims for delay or acceleration costs.
  • Omitting lien waiver or payment mechanics, which complicates payment release and subcontractor claims.
  • Allowing oral approval without a signed amendment, increasing the risk that the change will be denied later.

Consequences of an Incorrect or Incomplete Additions Agreement

Payment Delay: Invoice disputes and withheld funds
Scope Disputes: Differing expectations on deliverables
Lien Exposure: Subcontractor liens from unpaid additions
Schedule Claims: Disagreements over delay and costs
Contract Termination: Material breaches can risk termination
Legal Costs: Increased dispute resolution expenses

Required Data Elements to Capture in the Agreement

Project Name: Exact contract title
Change ID: Unique change-order number
Scope Summary: Concise added work description
Adjusted Price: New compensation amount
Effective Date: MM/DD/YYYY format
Signatory Info: Name, title, and date

Real-World Examples of Additions Agreements in Practice

These short examples show how organizations document additions and integrate digital signing into their workflows.

Martin Properties

A regional developer required rapid approval of a scope change for exterior finishes
