PROJECT AMENDMENT FORM

This Project Amendment Form (the Amendment) amends the terms of the existing Project Agreement entered into by the parties below. Effective Date:

RECITALS

WHEREAS, the Client and Contractor entered into a Project Agreement dated (the Original Agreement) for the provision of certain services and deliverables described therein;

WHEREAS, the parties desire to amend the Original Agreement to modify the scope, schedule, and compensation under the terms set forth in this Amendment; and

WHEREAS, capitalized terms used in this Amendment and not otherwise defined have the meanings set forth in the Original Agreement unless expressly modified herein.

SCOPE OF AMENDMENT

Late payment: Unpaid amounts shall accrue interest at per month (or the maximum permitted by law), beginning after a grace period of days following receipt of a correctly submitted invoice.

TERM AND TERMINATION

The term of this Amendment shall commence on and shall continue until unless earlier terminated as provided below.

Termination for convenience permitted: If checked, the terminating party shall provide the notice described above and pay for all work performed and documented costs incurred through the effective date of termination.

CONFIDENTIALITY

The parties acknowledge and agree that all Confidential Information disclosed under the Original Agreement shall remain subject to the confidentiality obligations of the Original Agreement. For purposes of this Amendment, "Confidential Information" includes nonpublic business, technical, financial and other information disclosed in connection with the Project. The Receiving Party shall (i) use Confidential Information solely to perform its obligations under the Original Agreement and this Amendment, (ii) restrict disclosure to employees, agents or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein, and (iii) take reasonable measures to prevent unauthorized disclosure. Confidentiality obligations shall survive termination for a period of three (3) years, except for trade secrets which shall survive as long as permitted by law.

GOVERNING LAW

This Amendment shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflict of laws. Any action arising out of or relating to this Amendment shall be brought in the courts located in that State and the parties hereby submit to the exclusive jurisdiction of such courts.

ENTIRE AGREEMENT

Except as expressly modified by this Amendment, all terms, conditions, representations, and warranties of the Original Agreement remain in full force and effect. In the event of any conflict between the Original Agreement and this Amendment, the terms of this Amendment shall control. This Amendment, together with the Original Agreement and any referenced attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, relating to that subject matter.

Each party represents and warrants that the person signing this Amendment on its behalf is duly authorized to execute and deliver this Amendment and to bind such party to its terms.
