Confidentiality

Each party acknowledges that during the course of performance it may receive Confidential Information of the other party. Confidential Information shall mean non-public business, technical or financial information disclosed in any form. The receiving party shall (a) use Confidential Information solely for performance under this Agreement; (b) restrict disclosure to those personnel with a need to know; and (c) protect such information with commercially reasonable safeguards no less protective than those used for its own confidential information. Confidential Information shall not include information that is publicly known through no breach by the receiving party or independently developed by the receiving party without use of the disclosing party’s Confidential Information.

Warranties, Liability & Insurance

The Service Provider represents that the services will be performed in a professional manner consistent with industry standards. Except as expressly set forth in this Agreement, the Service Provider disclaims all other warranties. Liability of either party for direct damages arising from this Agreement shall be limited to the greater of the total fees paid under this Agreement or fifty thousand dollars (USD 50,000). Neither party shall be liable for consequential, incidental or punitive damages. The Service Provider shall maintain insurance coverage customary for the services provided and shall provide certificates upon request.

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to conflict of laws principles.
