PROJECT APPROVAL AND AGREEMENT

This Project Approval and Agreement (the Agreement) is entered into as of between Client Name: and Contractor Name: .

Recitals

WHEREAS, the Client requires certain services and deliverables for the project described herein and desires to engage the Contractor to perform said work in accordance with the terms and conditions of this Agreement; and

WHEREAS, the Contractor represents that it has the necessary expertise, personnel and resources to perform the work in a timely and professional manner consistent with industry standards; and

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows.

The Client shall pay the Contractor the Total Contract Price specified below in accordance with the schedule and conditions set forth in this section. All amounts are payable in U.S. dollars unless otherwise agreed in writing.

Term and Termination

The term of this Agreement commences on the Start Date and continues until the End Date unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon providing the notice period set forth above. Termination for cause may be effected immediately upon written notice if the other party materially breaches any obligation and fails to cure such breach within fifteen (15) days after receipt of written notice.

Confidentiality

The parties acknowledge that, in the course of performance, each may disclose Confidential Information. "Confidential Information" means non-public business, technical and financial information disclosed in any form. Each recipient shall: (a) keep Confidential Information confidential using at least the same degree of care it uses for its own similar information but no less than reasonable care; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) not disclose Confidential Information to third parties except to employees, affiliates or contractors who have a need to know and who are bound by confidentiality obligations no less restrictive than those herein. The obligations herein shall survive termination for a period of three (3) years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction identified below, without regard to its conflict of law principles.

Entire Agreement

This Agreement, including all exhibits and attachments executed contemporaneously herewith, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No modification shall be effective unless in writing and signed by both parties.
