What a Project Change Order Addendum Is

A Project Change Order Addendum is a written amendment to an existing construction or project contract that documents a change in scope, cost, schedule, or specifications. It records the specific work added, deleted, or modified, quantifies associated price adjustments and time impacts, and provides a clear reference to the original contract articles being altered. The addendum becomes part of the contract when executed by authorized parties and should include signatures, dates, and any required approvals to avoid disputes over whether the change is binding.

Why Using a Clear Addendum Matters

A professional addendum reduces ambiguity, protects parties from unauthorized scope changes, and provides a documented basis for payment and schedule adjustments. It supports faster approvals, clearer invoicing, and defensible records in disputes or audits.

Why Using a Clear Addendum Matters

Who Typically Prepares and Signs This Addendum

Common signatories and preparers cover on-site operational roles and contract administrators who manage scope and budget changes.

  • General contractors and project managers who oversee scope and coordinate subcontractor work.
  • Subcontractors and specialty trades proposing work changes or claiming extra time or costs.
  • Owners, developers, and client representatives who must approve budget and schedule impacts.

Different stakeholders retain copies for project records, accounting, and legal review to ensure consistent implementation.

Representative Signatory Roles

Project Manager

A project manager submits or reviews change orders, confirms scope and schedule impacts, and certifies that proposed changes align with contract requirements and available budget.

Owner Representative

An owner or owner’s agent approves cost and time adjustments, negotiates terms, and signs the addendum to authorize work changes and payment milestones.

Core Elements of a Professional Addendum

A complete Project Change Order Addendum contains structured sections to make the change precise, auditable, and enforceable.

Change Description

A clear, itemized description of the work added, deleted, or revised, referencing original contract sections and drawings for unambiguous scope definition.

Cost Impact

Detailed pricing adjustments including unit rates, lump-sum amounts, allowances, and how taxes, retainage, and contingencies are applied to the change.

Schedule Impact

Any days added or reduced from the contract schedule, critical-path effects, and revised milestone or completion dates with logic for calendar vs. working days.

Payment Terms

When and how payments for the change will be invoiced and paid, including retainage, progress-billing allocation, and final acceptance conditions.

Approvals

Sign-off lines for all required parties and any delegated authority thresholds or conditional approvals tied to funding or design acceptance.

References & Attachments

Essential Information to Include

Project ID: Contract or project number
Change Summary: Concise scope description
Cost Adjustment: Dollar amount or credit
Schedule Adjustment: Days added or reduced
Signatures: Authorized signers

How to Complete a Project Change Order Addendum

Follow a consistent sequence to reduce delays and ensure the change becomes a binding part of the contract: prepare, document, approve, and distribute with signatures and record retention.

  • 01
Draft the change: Document scope, costs, and schedule impacts in precise language.
  • 02
Review internally: Obtain technical and budget approvals before external circulation.
  • 03
Get signatures: Collect authorized signatures and dates from all parties.
  • 04
Distribute copies: Send executed addendum to accounting, file, and field teams.

Customizing an Online Change Order Workflow

Set up an online workflow that matches on-paper approval steps to preserve auditability and speed approvals.

Field Configuration
Authentication method Email link or SMS code for signer verification
Conditional approvals Trigger manager or owner approval when cost exceeds threshold
Attachments required Attach estimates, drawings, or supporting photos
Retention policy Automate PDF storage and audit log capture

Where to Submit and How It Moves Through the Project

A typical routing path moves the addendum from originator to approvers, then to accounting and the project file; record each step for audit purposes.

  • Originator prepares: Contractor or design team drafts the addendum document
  • Approval routing: Submit to client, PM, and any funding approver
  • Execution: All required parties sign and date the addendum
  • Record filing: Store executed copy in contract repository

Digital Signing and File Format Considerations

Choose a platform that supports common file types, audit trails, and required authentication for signers.

  • File formats: PDF, DOCX, or scanned images
  • Integration: Connects to Box, Procore, or NetSuite
  • Authentication: Email, SMS, or stronger methods

Timelines and Typical Processing Expectations

Set internal deadlines for each stage—submission, review, approval, and execution—to keep changes from blocking critical path activities.

Submit change request:

Originator submits within 5 business days of identifying change

Internal review period:

Technical and cost review completed within 7–10 business days

Owner approval window:

Owner or representative typically responds within 10 business days

Execution timeline:

Signed addendum returned and distributed within 3 business days

Payment adjustment timing:

Adjusted billing reflected in the next progress invoice or within 30 days

Common Preparation Pitfalls to Avoid

  • Vague scope descriptions that refer vaguely to 'additional work' without technical detail lead to disputes about what was authorized.
  • Failing to attach supporting estimates or updated drawings causes disagreements on quantities, rates, and accepted methods of measurement.
  • Delays in securing signatures often mean work proceeds without formal authorization, complicating payment and liability determinations.
  • Mismatched party names or signatory authority discrepancies can render the addendum unenforceable or contested during claims.

Potential Consequences of a Deficient Addendum

Nonpayment: Claim disputes
Schedule Impact: Delays and liquidated damages
Contract Breach: Legal exposure
Lien Risk: Unresolved contractor claims
Audit Issues: Insufficient records
Enforceability: Signature defects

Practical Tips for Accurate Addenda

Adopt consistent drafting, approval, and storage practices to minimize disputes and administrative churn for change orders.

Use numbered scope line items
Break scope changes into numbered, measurable items tied to drawings or spec sections; this simplifies quantity verification, invoicing, and acceptance testing across teams and subcontractors.
Quote precise cost breakdowns
Include labor, materials, equipment, tax, allowances, and any unit-rate calculations; be transparent about what is included to prevent later disagreements over covered items.
Define time effects clearly
Spell out how the change affects milestones and final completion, and state whether the days are working days or calendar days to avoid schedule interpretation issues.
Keep an auditable trail
Store executed PDFs, signer audit logs, and supporting attachments together so that any financial or contractual audit can quickly locate evidence of approvals and execution.
