What a Project Close Out Contract Covers

A Project Close Out Contract is a formal agreement that documents the final acceptance, handover, and settlement of a completed project. It records deliverables, final payments, warranties, punch‑list resolution, as‑built drawings, lien waivers, permit sign‑offs, and retention releases. The contract allocates responsibility for outstanding items, confirms that contractual obligations are met, and establishes remedies and final invoicing procedures. For electronic execution, parties should follow ESIGN and applicable state UETA rules to ensure enforceability. The document also typically specifies record retention, dispute resolution, and any post‑completion warranty periods.

Why a Clear Close Out Contract Matters

A Project Close Out Contract reduces final‑phase disputes, clarifies payment and warranty obligations, protects against lien claims, and provides a clear record of acceptance. It streamlines final invoicing and handover, creating legal certainty for owners, contractors, and subcontractors.

Why a Clear Close Out Contract Matters

Who Typically Prepares and Signs This Agreement

Common signers include owners, general contractors, subcontractors, and design professionals who must confirm final acceptance and payment terms.

  • Project owners and owners' representatives — verify completion, accept deliverables, and authorize final payment.
  • General contractors — compile punch lists, secure warranties, submit final lien waivers and closeout documents.
  • Subcontractors and suppliers — confirm payment, provide as‑built records, and release claims when appropriate.

Legal counsel, project managers, and facility teams also use the contract to manage post‑completion obligations and retention of records.
