Upon termination for cause, the non-breaching party may suspend activities and pursue damages. Contractor shall deliver to Client any records and work product completed to date and provide reasonable assistance to transition work as required by Client.

Confidentiality

Each party shall treat all non-public information obtained in connection with the decommissioning as Confidential Information. Confidential Information includes but is not limited to technical data, system configurations, data inventories, and client records. Recipient shall not disclose Confidential Information except to employees and subcontractors with a need to know and shall take commercially reasonable measures to protect confidentiality for a period of three years following completion, unless a longer period is required by law or regulation.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction identified by Governing State: without regard to conflict of law principles.

Entire Agreement

This Checklist together with any attached schedules and acknowledged change orders constitutes the entire agreement between the parties concerning decommissioning activities and supersedes all prior agreements, representations, and understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

Final Acceptance

Final acceptance occurs when all required checklist items are complete, all deliverables and records required under Scope of Work are delivered, and Client provides written acceptance. Final acceptance may be withheld only for material nonconformities identified in writing by Client.
