What the Project Delivery Addendum Is and when it applies

A Project Delivery Addendum is a contract attachment that records delivery milestones, acceptance criteria, responsibilities, and any project-specific amendments to a primary agreement. It clarifies who delivers which materials or services, when delivery is due, how acceptance or inspection is performed, and the remedies for nonconforming delivery. Organizations attach this addendum to purchase orders, construction contracts, service agreements, or software delivery schedules to reduce disputes and create an auditable record of delivery terms that governs project handover and payment triggers.

Why a clear delivery addendum matters for project outcomes

A well-drafted Project Delivery Addendum reduces ambiguity around scope, timelines, and acceptance, protecting both parties and supporting on-time payments and compliance.

Why a clear delivery addendum matters for project outcomes

Typical teams and roles that complete this addendum

Relevant stakeholders often include procurement, project management, legal, and vendor operations who need a clear delivery record.

  • Construction project managers and contractors who coordinate staged deliveries and lien waiver attachments.
  • Owners, clients, and procurement teams who require acceptance criteria and payment triggers tied to milestones.
  • Legal, contract administrators, and compliance teams who track obligations and change-order processes.

Use consistent templates and signatory procedures so the addendum aligns with the master contract and is enforceable.

Core elements to include in a professional Project Delivery Addendum

A comprehensive addendum organizes delivery terms into discrete sections so responsibilities, timelines, payment triggers, and dispute processes are explicit and measurable.

Scope of Work

Define delivered goods or services precisely, reference contract exhibits, and list itemized deliverables with part numbers or specifications to avoid ambiguity and inspection disputes.

Delivery Schedule

Include firm delivery dates, phased milestones, and allowable date tolerances; indicate time-of-day, delivery location, and requirements for partial deliveries or backorders.

Acceptance Criteria

Specify inspection procedures, timeframes for acceptance or rejection, performance tests, and criteria for corrective actions that determine when a deliverable is deemed accepted.

Payment Terms

Tie payments to accepted milestones, state invoicing requirements, include retainage or holdback terms, and describe required documentation for payment submission.

Change Orders

Describe how scope changes are submitted, approved, priced, and scheduled; require signed change orders and define delay or cost-sharing mechanics.

Liability & Remedies

Set limits of liability, warranty periods, remedies for late or defective delivery, and any required insurance or indemnity language tied to the primary agreement.

Step-by-step: completing and executing the addendum

Follow these sequential actions to prepare, approve, and finalize the Project Delivery Addendum with clarity and auditability.

  • 01
Drafting: Populate scope, milestones, and payment triggers from the master contract.
  • 02
Internal Review: Have legal and procurement confirm liability and change-order language.
  • 03
Signatory Assignment: Identify authorized signers and any required witnesses or notary.
  • 04
Execution & Distribution: Obtain signatures, record execution date, and circulate copies to stakeholders.

How delivery addendum execution typically flows

A predictable workflow reduces signer friction and preserves the audit trail for acceptance and payment.

  • Prepare addendum: Attach exhibits, item lists, schedules, and acceptance tests to the addendum.
  • Assign signers: Add party emails, designate signing order, and set authentication level as needed.
  • Send for signature: Issue the document for signature with clear instructions and deadline for response.
  • Record executed copy: Store final signed PDF and capture audit trail details for compliance.

Configuring a digital workflow for the addendum

Map each workflow step to a platform setting so routing, authentication, and storage occur without manual intervention.

Field Configuration
Template Create reusable addendum template with locked clauses and editable fields.
Signer Order Set sequential or parallel signing as contractually required.
Authentication Choose email, SMS code, or knowledge-based verification where appropriate.
Retention Configure final signed document storage and access permissions.

Technical requirements for eSubmission and integration

Ensure the chosen eSignature platform supports the integration, authentication, and retention needs of your addendum.

  • Integrations: Salesforce, NetSuite, Google Workspace, and other systems.
  • File formats: PDF and DOCX support for editable templates.
  • Authentication: Email, SMS, KBA, and SSO where needed.

Confirm platform encryption, audit trail detail, and access controls meet contract and regulatory requirements before use.

Common timing elements and deadlines to include

Define clear timeframes for each action so parties know when inspections, corrections, and payments must occur.

Milestone execution:

Specify acceptance window (e.g., 10 business days) after delivery for inspection.

Correction period:

Allow a defined cure period (e.g., 15 business days) for defective deliveries.

Payment timing:

State payment due within X days after accepted milestone and invoice receipt.

Change-order response:

Require written approval or rejection within a set number of days.

Recordkeeping:

Retain executed addendum and attachments per company policy and law.

Key milestones from agreement to project handover

Track milestones as a sequential checklist from drafting through final closeout to maintain clarity and progress control.

01

Draft and Attach Exhibits

Prepare addendum and attach required specifications and schedules.

02

Internal Approvals

Obtain sign-off from legal, procurement, and project management.

03

Signatures Collected

Execute with authorized signatories and capture audit trail.

04

Handover & Closeout

Complete acceptance, finalize payments, and archive executed documents.

Frequent preparation errors to avoid

  • Using vague deliverable descriptions that leave acceptance criteria open to interpretation and cause disputes.
  • Failing to match party legal names across documents, which can create enforceability and billing problems.
  • Not linking payment triggers to completed, accepted milestones, resulting in payment delays or contested invoices.
  • Omitting required exhibits or technical specifications, forcing rework and extensions to the delivery schedule.

Consequences of incomplete or incorrect addenda

Contract disputes: Increased litigation risk and remedial costs
Payment delays: Withheld or disputed invoices and cashflow impact
Regulatory exposure: Noncompliance with industry rules where applicable
Tax penalties: Incorrect reporting may trigger IRC §6721 fines
I-9 errors: Paperwork violations $281–$2,789 per violation
Backup withholding: 24% withholding for missing/incorrect TINs
