What the Project Design and Build Template Is

The Project Design and Build Template is a standardized agreement framework that documents roles, deliverables, schedule, payment terms, and risk allocation for integrated design-and-construction projects. It combines initial design scope, milestone schedules, change-order procedures, acceptance criteria, and signature blocks so stakeholders have a single contract capturing responsibilities from concept through handover.

Why a Clear Template Matters for Project Delivery

A concise Project Design and Build Template reduces ambiguity, shortens negotiation cycles, and creates a consistent record for approvals, inspections, and payment. Using a standardized form helps manage scope changes, supports compliance with recordkeeping rules, and preserves evidence needed for disputes or audit trails.

Why a Clear Template Matters for Project Delivery

Who Typically Completes This Template

The form is useful for legal counsel, permitting staff, and third-party reviewers who need a clear, auditable contract record.

  • Project managers and program directors overseeing design and construction deliverables and timelines.
  • General contractors and construction managers preparing bids, schedules, and change-order provisions.
  • Owners, developers, and funding parties approving budget, milestones, and final acceptance criteria.

Who Signs and Why

Project Manager

The project manager signs to confirm acceptance of the scope, milestone schedule, and responsibilities. Their signature indicates operational control and authorizes day-to-day execution under the contract terms.

General Contractor

The general contractor signs to accept construction responsibilities, warranty obligations, and pricing. This signature binds the contractor to change-order procedures, lien waiver requirements, and completion milestones stated in the template.

Core Sections Every Professional Template Should Include

A robust Project Design and Build Template groups obligations and processes so parties can quickly find responsibilities, timelines, and remedies without ambiguity.

Parties and Contact

Clearly identify legal names, addresses, and authorized representatives. Include billing and delivery addresses plus a designated project contact for notices and dispute escalation.

Scope of Work

Describe deliverables with measurable acceptance criteria, phased design documents, and the distinction between design services and construction duties to prevent scope creep.

Schedule and Milestones

List key dates, milestone acceptance steps, critical-path dependencies, and remedies for missed milestones, including liquidated damages if applicable.

Payment and Consideration

Specify contract value, payment schedule tied to milestones, retainage, invoicing requirements, and acceptable proof of completion for each draw.

Change Orders

Define the process for proposed changes, price adjustments, approval thresholds, and time extensions required to keep the project on a defensible record.

Acceptance and Closeout

Explain final inspections, punchlist procedures, final payment release, warranty start dates, and conditions for retainage release or lien waivers.

Step-by-Step: Completing the Template

Follow these sequential tasks to prepare a complete and enforceable Project Design and Build Template.

  • 01
Gather Documents: Collect plans, permits, and funding authorizations first.
  • 02
Populate Parties: Insert legal entity names and contact information.
  • 03
Define Scope: Attach or reference detailed drawings and specs.
  • 04
Review and Sign: Confirm approvals, then obtain required signatures.

How to Configure the Online Workflow

Set up a repeatable signing workflow that enforces role order and captures an audit trail.

Field Configuration
Authentication Email link, SMS code, or stronger KBA as required
Conditional Fields Show fields only when specific answers are selected
Template Settings Lock sections for certain roles and enable version control
Notifications Auto-notify stakeholders on signature and completion

Supported Platforms and File Types

Confirm your chosen platform supports audit trails, conditional fields, and the authentication level needed for your project.

  • File Formats: PDF, DOCX, and fillable Excel
  • Integrations: Salesforce, NetSuite, Google Workspace, Procore
  • Authentication: Email link, SMS, or SSO

Typical eSigning Flow for This Template

A standard online signing sequence reduces delays and keeps a timestamped record of each action.

  • Upload Document: Upload finalized template to the signing platform.
  • Place Fields: Insert signature, date, and initial fields.
  • Invite Signers: Send signer links or bulk invites as configured.
  • Complete Signing: Platform captures timestamps, IP, and completion certificate.

Practical Tips for Accurate Completion

Use these verified practices to reduce rework, disputes, and administrative delay.

Standardize Party Names
Use consistent legal entity names across all project documents and tax forms to avoid backup withholding or filing mismatches.
Attach Exhibits
Reference and attach technical drawings and specifications as exhibits to make scope and acceptance criteria explicit.
Include Change-Order Rules
Document approval thresholds, pricing methods, and time extensions to prevent informal scope changes from becoming disputes.
Keep an Audit Trail
Use eSignature audit logs and version control so every signature, change, and approval is timestamped and reproducible.

Common Preparation Mistakes to Avoid

  • Leaving scope descriptions vague so parties later dispute whether a task was included or extra work.
  • Failing to list decision-makers which delays approvals and causes inter-team rework and missed milestones.
  • Using inconsistent party names that trigger tax or payment routing errors and complicate lien releases.
  • Not defining acceptance criteria which leads to extended punch lists and withheld final payment.

Key Legal and Financial Risks of an Incorrect Template

Contract Ambiguity: May lead to breach claims and costly litigation.
Payment Delays: Unclear invoicing terms can slow payment cycles.
Lien Exposure: Improper notice or waiver handling increases lien risk.
Regulatory Noncompliance: Missing disclosures can trigger agency penalties.
Tax Reporting Issues: Incorrect payee names or TINs can trigger backup withholding.
Retention Failures: Deleting records prematurely can hinder audits or defenses.

Typical Deadlines and Timing Expectations

Recognize project and administrative dates so responsibilities and payments proceed on schedule.

Proposal Submission Deadline:

Submit proposals by the date specified in procurement documents.

Contract Effective Date:

Contract obligations begin on the named effective date (MM/DD/YYYY).

Design Milestone Deadlines:

Deliver schematic, design development, and construction documents by stated milestone dates.

Construction Start:

Mobilization typically occurs within a fixed number of days after permits are secured.

Final Acceptance:

Complete punchlist and obtain final signoff to trigger final payment.

Key Project Milestones in Sequence

A sequential milestone view helps teams track progress and link payment triggers to completed stages.

01

Pre-Construction Planning

Finalize contracts, permits, and procurement paths before mobilization.

02

Design Completion

Complete design documents and obtain approvals for construction.

03

Construction Execution

Perform site work, inspections, and milestone-based payments.

04

Handover and Closeout

Complete punchlist, transfer manuals, and release retainage.
