Recitals

WHEREAS, Client desires to retain Service Provider to perform development, integration and related professional services as described in this Contract; and WHEREAS, Service Provider has represented that it possesses the necessary expertise, personnel and resources to perform such services in accordance with the terms set forth herein.

Change Orders

Any material change to scope, schedule or price shall require a written Change Order executed by authorized representatives of both parties. Service Provider shall not begin work on any change without a fully executed Change Order. Change Orders shall set forth the scope of the change, any adjustments to price, any schedule impacts, and revised acceptance criteria.

Confidentiality

Each party shall protect Confidential Information of the other party with the same standard of care it uses to protect its own confidential information, but no less than reasonable care. Confidential Information excludes information that is publicly known, rightfully received from a third party, independently developed without use of the other's Confidential Information, or required to be disclosed by law. Confidentiality obligations shall survive termination for a period of years.

Intellectual Property

Unless expressly otherwise agreed in writing, all original Work Product created by Service Provider under this Contract shall be assigned to Client upon full payment. Service Provider retains ownership of pre-existing tools, libraries, and methodologies; Service Provider grants Client a perpetual, worldwide, royalty-free license to any such pre-existing materials to the extent incorporated in the Work Product.

Warranties, Liability & Indemnification

Service Provider warrants that the services will be performed in a professional and workmanlike manner consistent with industry standards for a period of months from final acceptance. EXCEPT AS EXPRESSLY PROVIDED, SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES.

Each party shall indemnify and hold harmless the other from third-party claims arising from its breach of this Contract or its gross negligence or willful misconduct. Liability of either party for damages under this Contract shall be limited to direct damages and capped at the total amount paid to Service Provider under this Contract, except for damages resulting from willful misconduct, gross negligence, or breaches of confidentiality and intellectual property obligations.

Termination

Either party may terminate this Contract for material breach if the breaching party fails to cure the breach within days after receipt of written notice. Either party may also terminate for convenience upon days' prior written notice. Upon termination Client shall pay for all work performed and reasonable wind-down costs incurred by Service Provider through the effective date of termination.

Acceptance Procedure

Client shall have a period of days after delivery of each deliverable to inspect and accept or reject based on the acceptance criteria. If Client does not provide written notice of rejection within such period, the deliverable will be deemed accepted.

Governing Law & Dispute Resolution

This Contract shall be governed by the laws of the State of without regard to conflict of laws principles. The parties shall attempt to resolve disputes in good faith through negotiation and, if unresolved within 30 days, shall submit the dispute to mediation prior to initiating litigation. Each party reserves the right to seek injunctive or other equitable relief.

Miscellaneous

This Contract constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior understandings. Amendments must be in writing and signed by authorized representatives. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
