Acceptance, Confidentiality & Legal Terms

Execution of this Proposal by authorized representatives of both parties constitutes a binding agreement incorporating the terms set forth herein. No amendment to scope, schedule, or compensation is effective unless executed in writing by both parties as a Change Order.

Confidentiality: Each party shall hold in strict confidence all non-public information disclosed in connection with this engagement and shall not use such information except to perform its obligations. Confidential information does not include information that is publicly known or independently developed without use of confidential materials.

Warranties & Representations: Each party represents that it has authority to enter this agreement. The Service Provider warrants that services will be performed in a professional manner consistent with industry standards. THE FOREGOING WARRANTY IS EXCLUSIVE AND IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

Limitation of Liability & Indemnification: Except for willful misconduct or gross negligence, neither party shall be liable for incidental or consequential damages. Provider's aggregate liability for claims arising out of or related to this Agreement shall not exceed the total fees paid by Client under this Proposal. Client agrees to indemnify and defend Provider from third-party claims arising from Client-supplied materials or instructions.

Termination: Either party may terminate this Proposal for material breach if the breach is not cured within thirty (30) days following written notice. Upon termination, Provider shall be paid for work performed to the date of termination, including reasonable wind-down costs.

Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including acts of God, strikes, government actions, or internet failures. Affected party shall notify the other and use reasonable efforts to mitigate delay.

Miscellaneous

Notices: All notices shall be in writing and delivered to the addresses listed in this Proposal. Assignment: Neither party may assign its rights or obligations without the other party's prior written consent, except to an affiliate or successor in interest to substantially all of its business.
