What a Project Engagement Agreement Covers

A Project Engagement Agreement is a written contract that defines the relationship between a service provider and a client for a specific project. It sets out the scope of work, deliverables, schedule, payment terms, acceptance criteria, intellectual property ownership, confidentiality obligations, change-order process, and termination rights. The agreement clarifies responsibilities and risk allocation to reduce disputes, establishes performance milestones and acceptance tests, and records the parties' contractually binding commitments in a format suitable for electronic signature and secure retention.

Why a Clear Engagement Contract Matters

A well-drafted Project Engagement Agreement reduces scope ambiguity, speeds approvals, defines payment and liability, and preserves evidence of parties’ intentions for enforcement or dispute resolution under ESIGN and state law.

Why a Clear Engagement Contract Matters

Who Typically Prepares and Signs These Agreements

Companies, independent contractors, project managers, and procurement teams commonly use Project Engagement Agreements to set expectations before work begins.

  • Project managers and delivery leads who define scope and milestones for execution.
  • Clients, owners, or procurement teams that approve budgets, acceptance criteria, and payment schedules.
  • Legal and finance teams that review liability, intellectual property, and invoice timing.

The document also serves legal, finance, and compliance teams by documenting obligations, payment schedules, and retention requirements for audits and regulatory review.
