Recitals

Term and Termination

This Estimate contemplates work to commence on or about and anticipates substantial completion by . Either party may terminate the work prior to completion for material breach by the other party if the breaching party fails to cure within days written notice. Confidentiality

Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was in the receiving party's possession prior to disclosure, or is required to be disclosed by law or valid court order, provided the disclosing party is given prompt notice where permitted to seek protective relief.

Governing Law

This Estimate shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Entire Agreement

This Estimate, together with any written change orders or mutually executed work orders referencing this Estimate, constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior negotiations, proposals, representations, or agreements, whether written or oral.
