Recitals

WHEREAS, Client desires to retain Contractor to perform certain professional services in connection with the project identified in this Project Initiation Template (the "Project"); and

WHEREAS, Contractor represents that it has the qualifications, experience and personnel necessary to perform the services described below and is willing to perform such services under the terms and conditions set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained in this document, the parties agree as follows:

Either party may terminate this Agreement for cause upon material breach by the other party if such breach is not cured within the notice period specified above. Termination shall not relieve Client of its obligation to pay for work performed and costs incurred prior to the effective date of termination.

Confidentiality

Each party shall hold in confidence all non-public information disclosed by the other party that is designated confidential or that reasonably should be understood to be confidential under the circumstances. Confidential information shall not include information that is or becomes publicly available through no breach of this Agreement, is rightfully received from a third party without restriction, or is independently developed.

Confidentiality Period: years from disclosure, except to the extent otherwise required by law with prior notice to the disclosing party where legally permitted.

Representations; Standards of Performance

Contractor represents that services will be performed in a professional and workmanlike manner consistent with industry standards. Contractor shall ensure qualified personnel perform the work and shall comply with applicable laws and regulations.

Liability and Indemnification

Each party shall indemnify and hold harmless the other from claims arising out of its gross negligence or willful misconduct in connection with this Agreement. Except for liability resulting from gross negligence or willful misconduct, neither party shall be liable for indirect, incidental or consequential damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles.

Entire Agreement; Amendments

This Project Initiation Template, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings, written or oral.
