PROJECT LIABILITY WAIVER AND SERVICES AGREEMENT

This Project Liability Waiver and Services Agreement (the Agreement) is entered into as of by and between Client Name: and Contractor Name: .

WHEREAS

WHEREAS, Client desires that Contractor perform the services described herein in connection with the project identified as Project Title: (the Project); and

WHEREAS, Contractor represents that it has the skill, personnel, licenses and insurance necessary to perform the services and agrees to assume and accept the risks and responsibilities set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants set forth below and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. Scope of Work

Contractor shall perform the work described above in a professional and workmanlike manner consistent with industry standards and in compliance with all applicable laws, codes and regulations. Any material changes to the Scope of Work must be authorized in writing by both parties.

2. Payment Terms

All payments are due according to the Payment Schedule. Late payments shall accrue the Late Payment Fee stated above or, if no fee is specified, interest at a rate of 1.5% per month. Client is responsible for all reasonable costs of collection, including attorneys' fees, if payment is not made when due.

3. Term and Termination

This Agreement commences on Start Date: and expires on End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period specified above following written notice. Termination shall not relieve the Client of payment obligations for work performed prior to the effective date of termination.

4. Confidentiality

"Confidential Information" means information disclosed by either party that is designated as confidential or that, due to its nature, would reasonably be considered confidential. Each party shall maintain the confidentiality of Confidential Information, shall not use it except to perform obligations under this Agreement, and shall disclose it only to employees, agents or subcontractors who have a need to know and are bound by confidentiality obligations at least as protective as those herein. This obligation shall survive termination of this Agreement for a period of three (3) years.

5. Release, Assumption of Risk and Waiver

Client acknowledges that performance of the Project may involve physical labor, use of tools, uneven terrain, or other hazards. Client, on behalf of itself, its employees, agents and invitees, knowingly and voluntarily assumes all risks of injury, death, loss or damage arising from or related to the Project except to the extent resulting from Contractor's gross negligence or willful misconduct.

Client hereby releases and forever discharges Contractor, its officers, employees, agents and subcontractors from any and all claims, liabilities, demands, causes of action or suits of any kind arising out of or in connection with the Project, whether known or unknown, except for claims arising from Contractor's gross negligence or willful misconduct.

6. Indemnification and Limitation of Liability

Contractor shall indemnify, defend and hold harmless Client from and against losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising from Contractor's breach of this Agreement or Contractor's gross negligence or willful misconduct. Client shall indemnify, defend and hold harmless Contractor from and against losses, liabilities, damages and expenses arising from Client's breach of this Agreement or Client's negligence.

Except for liability arising from gross negligence or willful misconduct or indemnification obligations herein, neither party shall be liable to the other for consequential, incidental, special or punitive damages, and total aggregate liability under this Agreement shall not exceed the Total Contract Amount paid by Client to Contractor.

7. Insurance and Safety Compliance

Contractor shall maintain all required insurance coverages and comply with applicable safety laws and industry practices. Upon reasonable request, Contractor shall provide certificates of insurance to Client prior to commencing work.

8. Compliance with Laws and Permits

Contractor shall obtain and maintain any required permits, licenses and approvals necessary to perform the Scope of Work and shall comply with all applicable federal, state and local laws, codes and regulations.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified above, without regard to conflict of law principles.

10. Entire Agreement and Amendment

This Agreement, together with any written change orders or addenda signed by both parties, constitutes the entire agreement between the parties regarding the Project and supersedes all prior and contemporaneous agreements, understandings and communications. This Agreement may be amended only by a written instrument signed by both parties.

11. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid or unenforceable provision shall be reformed only to the extent necessary to make it enforceable.
