Confidentiality

Each party acknowledges that in performing under this Addition it may receive Confidential Information of the other party. Confidential Information shall mean non-public information disclosed in any form. The receiving party agrees to hold such Confidential Information in confidence, to use it only for purposes of performing under this Addition, and not to disclose it to any third party except as required by law or as necessary to perform the work, subject to confidentiality obligations. The confidentiality obligation described herein shall continue for years following termination or expiration of this Addition.

Representations, Warranties & Liability

Each party represents and warrants that it has full power and authority to enter into this Addition and to perform its obligations. Service Provider warrants that the services will be performed in a professional and workmanlike manner consistent with industry standards. Except to the extent caused by willful misconduct or gross negligence, neither party shall be liable for incidental or consequential damages arising from this Addition; aggregate liability shall be limited to the total additional fees paid under this Addition.

Amendment, Notices & Governing Law

This Addition may be amended only by a written instrument signed by authorized representatives of both parties. Notices required or permitted under this Addition shall be in writing and delivered to the address set forth in the underlying Project Agreement. This Addition shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles.
