Core sections of a robust Project Management Agreement for Acrylic Tech define responsibilities, schedules, change control, payments, IP, and dispute mechanisms.

Parties

Identify contracting parties with full legal names, entity types, addresses, and authorized signatories; include tax identification or formation numbers when necessary for invoicing and compliance with tax reporting rules.

Scope

Provide a clear, measurable description of work, deliverables, acceptance criteria, and referenced technical attachments; avoid vague language that can cause disputes or enable scope creep without formal change control.

Schedule

List milestone dates, dependencies, and review periods; indicate penalties or remedies for missed milestones and define procedures for approved schedule adjustments to maintain project continuity.

Payment

Specify pricing model, invoicing intervals, payment methods, retainage percentages, and conditions for release of funds tied to milestone acceptance or deliverable approval to reduce payment disputes.

IP

Clarify ownership of work product, assignment of copyrights or patents if applicable, and licensing terms for Acrylic Tech to use deliverables internally or sublicense as required.

Liability

Limitations of liability, indemnification scope, insurance requirements, and warranty periods should be precise to allocate risk without nullifying essential remedies for willful misconduct or gross negligence.

Security and Compliance Considerations

Encryption: TLS 1.2/1.3 in transit and AES-256 at rest
Certifications: SOC 2 Type II, ISO 27001, PCI DSS
HIPAA: Compliant; BAA available upon request
21 CFR: Supports 21 CFR Part 11 workflows
Data Privacy: GDPR and CCPA compliance frameworks

Risks and Potential Contract Penalties

Contract Disputes: Delay claims and litigation costs
Payment Withholding: Stop-work or withholding risks
Scope Creep: Unapproved changes increase cost
IP Disputes: Ownership ambiguity causes litigation
Regulatory Exposure: HIPAA or export compliance breaches
Record Retention: Inadequate records hinder defense

Common Preparation Mistakes to Avoid

  • Failing to define acceptance criteria leads to payment disputes and repeated rework that extend timelines and raise costs.
  • Omitting clear change-control procedures allows scope creep and informal approvals, causing budget overruns and audit difficulties.
  • Using vague payment terms or unspecified milestones increases the risk of late payments, disputes, and collection actions.
  • Not specifying data-handling or security obligations can expose Acrylic Tech to compliance violations when third-party vendors process sensitive information.
