What Project Management Annual Resolutions Are

Project Management Annual Resolutions are a formal, written set of decisions and authorizations adopted periodically (typically annually) to approve project budgets, governance structures, delegated authority, and key milestones. Organizations use them to document board or steering-committee approvals, clarify who can sign contracts or change orders, and set the official project priorities and reporting requirements for the coming year.

Why a Clear Annual Resolution Matters for Projects

A well-crafted annual resolution reduces ambiguity about authority, aligns stakeholders on priorities, and creates an auditable record for governance and compliance. It helps avoid rework, speeds approvals, and provides a defensible basis for budget and scope decisions.

Why a Clear Annual Resolution Matters for Projects

Who typically prepares and approves these resolutions

Project managers, program directors, corporate secretaries, and governance committees usually prepare the document before review and adoption.

  • Project Management Office leads and program directors responsible for portfolio alignment and delivering consolidated recommendations to leadership.
  • Executive leadership or steering committees who approve budgets, delegate authority, and set strategic priorities for projects.
  • Legal or corporate secretarial staff who ensure the resolution language meets corporate governance requirements and recordkeeping policies.

After approval, the resolution is circulated to signatories and retained with corporate minutes and project records for audit and review.

Step-by-step: Prepare, Approve, and Record the Resolution

Follow these sequential steps to draft, review, approve, and archive Project Management Annual Resolutions while preserving chain-of-authority and auditability.

  • 01
Draft: Create a clear draft with titles, effective date, scope, and proposed signers.
  • 02
Review: Circulate to stakeholders and legal for review; capture edits and version history.
  • 03
Adopt: Obtain formal approval at the meeting or by written consent and collect required signatures.
  • 04
Record: File signed resolution with corporate minutes and project records, and confirm storage location.

How to configure a digital approval workflow

Map the approval steps and set field-level requirements before sending for signatures to reduce back-and-forth.

Field Configuration
Signer Order Sequential routing: preparer → legal → approver(s) → recording custodian
Required Fields Effective Date, Authorized Signers, Budget Limits, Custodian
Authentication Email link + optional SMS code or KBA for higher-value approvals
Audit Settings Enable full audit trail, time stamps, and attach final signed PDF to record

Typical online signing flow for an annual resolution

An electronic workflow speeds approval and preserves an auditable record when set up correctly.

  • Upload Document: Upload the draft resolution in PDF or DOCX format.
  • Place Fields: Add signature, date, and checkbox fields where required.
  • Add Signers: Enter signer emails and set signing order or parallel routing.
  • Send and Record: Send for signature; capture signed copies and audit logs automatically.

Distribution channels and technical considerations

Choose delivery options and integrations to match how stakeholders access and approve documents.

  • Email links: Direct email invitations with embedded signing links for most signers.
  • In-platform routing: Integrated routing in document management or ERP systems using API or native connectors.
  • Third-party integrations: Connectors for Salesforce, Microsoft 365, NetSuite, Box and others for automated filing and notifications.

Match authentication strength, storage location, and retention rules to your governance and compliance needs before sending.

Core elements to include in a professional resolution

Include these six components to make the resolution complete, enforceable, and easy to reference in audits or contract reviews.

Title and Scope

Clear title, reference to project(s), and precise description of the matters being authorized.

Effective Date

Start date for authorities, with any sunset or review dates expressly stated.

Authority Delegation

Names, titles, and monetary or functional limits for authorized signers and approvers.

Budget and Funding

Approved budgets, cost centers, and instructions for change orders or re-allocations.

Reporting Requirements

Frequency and format of project status reports required under the resolution.

Recordkeeping

Where signed resolutions and supporting documentation will be stored and retained.

Common fields and why they're required

Title: Descriptive name
Effective Date: MM/DD/YYYY required
Authorized Signer: Full legal name
Limitations: Monetary or scope limits
Custodian: Record location
Signatures: Signed and dated

Risks and potential consequences of incorrect or missing resolutions

Unauthorized commitments: Executives or managers may lack authority to bind the organization.
Contract disputes: Vendors may challenge contract validity if signer authority is unclear.
Audit findings: Internal or external auditors may cite control weaknesses.
Budget overruns: Spending without approved limits increases fiscal risk.
Regulatory exposure: Improper approvals can trigger regulatory scrutiny in controlled industries.
Operational delays: Missing or unclear resolutions slow procurement and project starts.

Common preparation and execution mistakes to avoid

  • Leaving signature authority undefined or too generic, which leads to rejected contracts and ambiguous enforcement.
  • Using inconsistent dates or failing to specify whether authority is cumulative or per-project, creating accounting and approval conflicts.
  • Storing signed resolutions in multiple locations without a single custodian identified, complicating audits and retrieval.
  • Failing to route the document to legal or corporate secretary before signature, which can invalidate the resolution for governance purposes.

Timing considerations and recurring deadlines

Track timing milestones for drafting, approval, publication, and record retention to ensure controls and audits align with fiscal processes.

Draft preparation deadline:

Complete draft at least two weeks before the scheduled approval meeting to allow review.

Board or committee approval:

Adopt resolution at scheduled meeting or via documented written consent per bylaws.

Filing to records:

File the signed resolution with corporate minutes within 7 business days of approval.

Annual review:

Schedule an annual review to confirm or update authorities before the next fiscal year.

Retention checkpoint:

Confirm retention labeling and backup archival per records policy after signature.

Real-world examples of annual resolutions in practice

These customer examples show how organizations used electronic workflows and clear resolution language to streamline approvals and recordkeeping.

Martin Properties — Tim Martin, Founder

The team adopted an annual project resolution to centralize signature authority and speed closings.

  • It reduced in-person approvals for property deals.
  • "I can process and execute all of these documents online with 100% compliance and built-in security. Whether on mobile or working offline, I can get forms back to their necessary parties efficiently."

Fertility Centers of Illinois — John Butler, Founder

Leadership used an annual resolution to delegate approvals for patient-related projects and vendor contracts.

  • Delegation cut administrative cycles substantially.
  • "The airSlate SignNow team has been exceptional, responsive, the API has been great, and we're extremely happy that we chose airSlate SignNow as a company."

Practical tips for accurate and efficient resolutions

Apply these best practices to reduce errors, simplify audits, and maintain clear authorization trails.

Use precise language
Define authority limits numerically and avoid vague phrases; specify whether limits are per transaction, per project, or cumulative.
Centralize custody
Designate a single records custodian and a storage location (with backup) to streamline retrieval and audits.
Validate signers
Confirm signer names and titles against official rosters before dispatch; mismatches can invalidate approvals.
Keep version history
Track drafts, changes, and approvals with timestamps so auditors can reconstruct decision timelines.
