Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with the services, and shall not use such information except for the performance of this Agreement. Confidential information excludes information that is or becomes generally known to the public through no fault of the receiving party, or that is independently developed or lawfully obtained from a third party.

A breach of confidentiality shall entitle the non-breaching party to injunctive relief in addition to any other remedies at law or equity.

Liability, Remedies and Governing Law

Except as may be expressly set forth herein, neither party will be liable to the other for indirect, incidental, special, punitive or consequential damages. Each party's aggregate liability for direct damages arising from this Agreement will not exceed the total fees paid under this Approval Sign-Off for the related deliverable(s).

If the Client does not provide written rejection citing non-conformance within the inspection period, the deliverable will be deemed accepted.
