PROJECT MANAGEMENT ASSIGNMENT AGREEMENT

This Project Management Assignment Agreement (the Agreement) is entered into by and between Client Name: and Service Provider: . The parties agree that management rights and obligations described herein shall be assigned and transferred as set forth below. The effective date of this assignment is (Effective Date).

Assignment and Acceptance

Assignor (the Service Provider) hereby assigns to Assignee (the Organization identified as Service Provider above) all project management responsibilities, rights and obligations described in the original project agreement for the Project identified above, subject to the terms and conditions of this Agreement. Assignee accepts the assignment and covenants to perform such duties in accordance with the standards and schedule set forth in this Agreement.

Budget and Payment

Change orders that affect scope, schedule or budget shall be documented in writing and signed by authorized representatives of both parties prior to implementation. Fees resulting from approved change orders shall be invoiced in accordance with the Payment Schedule above.

Confidentiality

Each party shall maintain the confidentiality of the other's confidential information and shall not disclose such information except to employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those herein. Confidential information shall be used only for performance of this Agreement. Confidentiality obligations survive termination for a period of three (3) years.

Representations, Warranties, Indemnity and Limitation

Each party represents and warrants that it has the authority to enter this Agreement and perform its obligations. Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Each party shall indemnify, defend and hold harmless the other from losses arising from its gross negligence, willful misconduct or material breach. Except for liability arising from willful misconduct or indemnity obligations, neither party's aggregate liability shall exceed the total fees paid under this Agreement for the last twelve (12) months.

Termination and Transition

Either party may terminate this Agreement for material breach if the breach is not cured within days' written notice. Upon termination, Service Provider shall provide transition assistance for a period of days at rates specified in the Payment Schedule.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law rules. Disputes shall be resolved by arbitration in accordance with the parties' selected forum, and judgment on the award may be entered in any court of competent jurisdiction.

Notices

Miscellaneous Provisions

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior written or oral agreements. Amendments must be in writing and signed by authorized representatives. If any provision is held invalid, the remaining provisions remain in full force and effect.

Execution of this Agreement by electronic signature, facsimile or PDF shall have the same force and effect as an original signature.
