All changes to scope, schedule, or budget shall be effected only by a written change order signed by authorized representatives of both parties. Failure to follow the change order process may result in non-payment for unapproved work.

Confidentiality & Intellectual Property

Each party acknowledges that it may receive confidential information of the other. Confidential Information shall be used solely for the performance of this Assignment Schedule and shall not be disclosed except to those employees or contractors having a need to know and who are bound by obligations of confidentiality no less protective than those set forth herein. The receiving party shall implement reasonable safeguards to protect Confidential Information.

Unless otherwise agreed in writing, deliverables produced under this Assignment Schedule shall be owned by the Client upon full payment; Provider hereby assigns to Client all right, title and interest in such deliverables, subject to Provider's rights in pre-existing tools and methodologies retained by Provider and clearly identified as Provider Background.

Liability, Termination & Miscellaneous

Provider shall perform services with the skill and care ordinarily exercised by professionals performing similar services. Except for willful misconduct or gross negligence, each party's aggregate liability arising out of or in connection with this Assignment shall be limited to direct damages not exceeding the total fees paid under this Assignment Schedule. Neither party shall be liable for consequential, incidental, or punitive damages.

This Assignment Schedule may be terminated by either party for material breach if the breach remains uncured for thirty (30) days after written notice. Upon termination, Client shall pay Provider for work performed to the effective date of termination in accordance with the payment terms.

Dispute Resolution: The parties agree that disputes should first be escalated to senior management for resolution. If unresolved within thirty (30) days, disputes shall be resolved in the courts identified by the governing law clause unless the parties mutually agree to binding arbitration in writing.

By signing below, the parties acknowledge and agree that this Assignment Schedule incorporates the terms set forth herein and authorizes the Provider to commence work in accordance with the Scope, Deliverables, Timeline and Budget identified above.
