Change Orders

All changes to scope, schedule or fees shall be documented by a written Change Order executed by authorized representatives of both parties. The Change Order shall state the change in scope, impact on schedule, and any adjustment to the contract price. Service Provider shall provide a written change estimate within business days of receipt of a change request.

Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information shall not be used except to perform obligations under this Bid and shall not be disclosed to any third party without prior written consent, except as required by law. The obligations in this Section shall survive termination or expiration of any agreement executed in reliance upon this Bid for a period of three (3) years.

Limitation of Liability; Indemnity

Except for liability arising from gross negligence or willful misconduct, the Service Provider's aggregate liability for claims arising out of this Bid or any resulting agreement shall be limited to direct damages not to exceed the total amount paid to Service Provider under the applicable statement of work. Each party agrees to indemnify, defend and hold harmless the other party from third-party claims arising from its negligence, breach of law, or willful misconduct.

Termination

Either party may terminate performance upon written notice if the other party materially breaches any obligation and fails to cure the breach within days after receipt of written notice. Upon termination for convenience or for cause, Service Provider shall be entitled to payment for services performed and reasonable demobilization costs.

Governing Law and Dispute Resolution

This Bid and any agreement executed as a result shall be governed by the laws of the State of without regard to its choice of law principles. The parties shall first attempt to resolve disputes in good faith through senior-level negotiations. If unresolved, disputes shall be submitted to binding arbitration in accordance with the commercial arbitration rules agreed by the parties.

Bid Conditions and Acceptance

This Bid constitutes an offer that, if accepted in writing by the Client within days, will form the basis for a binding statement of work or agreement subject to execution of mutually acceptable terms. Acceptance of this Bid requires written confirmation signed by an authorized representative of the Client and the Service Provider.

Representations and Certifications

The Service Provider represents that (a) it has the requisite corporate authority to submit this Bid and perform the work; (b) the information, estimates and assumptions furnished in this Bid are true and accurate to the best of its knowledge; and (c) no third-party rights will be infringed by performance of the services described herein. The Client represents that it has authority to consider this Bid and to accept the same in accordance with the terms set forth.

Any notice required under this Bid shall be in writing and delivered to the contact persons listed above. Neither party may assign rights under any resulting agreement without the prior written consent of the other party, except to an affiliate or in connection with a sale of substantially all assets.
