Scope of Work

The Service Provider will perform project management services as described below. Services shall include planning, scheduling, resource coordination, status reporting, risk management, change control administration, and deliverable acceptance coordination. All services will be performed in accordance with professional standards and with reasonable skill and care.

Deliverables and Acceptance Criteria

The Service Provider will produce the following deliverables. Acceptance of each deliverable requires written confirmation from the Client that the deliverable meets the acceptance criteria stated below, or the issuance of a written punch list describing deficiencies, which the Service Provider will remedy within the agreed cure period.

Anticipated schedule and key milestones. Dates are estimates and may be revised only by written change order.

Budget & Payment

The following summarizes the financial proposal. All fees are exclusive of applicable taxes unless otherwise stated. Payment obligations survive acceptance of deliverables to the extent set forth in the payment schedule.

Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Provider may suspend performance for overdue invoices following seven (7) days' written notice.

Change Order Process

Any modification to scope, schedule, or budget will be effected only by written change order executed by authorized representatives of both parties. The change order shall describe the change, adjustments to fees and schedule, and acceptance criteria. The Service Provider will not proceed with changed work until a change order is executed, except as otherwise agreed in writing.

Confidentiality

Each party acknowledges that it may receive confidential, proprietary, or non-public information of the other party. Except as required by law, neither party shall disclose such information to third parties or use it other than to perform its obligations under this Proposal. Confidential information does not include information that is publicly available or lawfully obtained from a third party without restriction.

Representations; Warranty; Limitation of Liability; Termination

The Service Provider warrants that services will be provided in a competent and professional manner consistent with industry standards. Except for this limited warranty, services are provided "as is" and the Service Provider disclaims all other warranties, express or implied. Except for willful misconduct or gross negligence, neither party shall be liable for consequential, incidental, or punitive damages. Either party may terminate this Proposal for material breach if the breach remains uncured thirty (30) days after written notice.

Governing Law & Dispute Resolution

This Proposal shall be governed by the laws of the state identified below without regard to conflict of law principles. Parties shall first attempt to resolve disputes in good faith through negotiation. If unresolved, disputes shall be resolved by binding arbitration administered in the identified state, unless the parties agree otherwise in writing.

By signing below, the undersigned Client and Service Provider acknowledge they have authority to enter into this Proposal, accept the scope, timeline, fees, and terms set forth herein, and agree to be bound by them.
