Confidentiality and Intellectual Property

Confidentiality: The parties agree that Confidential Information disclosed in connection with this Bid will be held in confidence and used solely for performance of the services. Confidential Information does not include information that is or becomes publicly available other than through a breach of this obligation.

Intellectual Property: Unless otherwise agreed in a written statement signed by both parties, Service Provider retains ownership of pre-existing tools, methodologies, templates and materials. Deliverables specifically created for and paid for by Client will be assigned to Client upon final payment, subject to Service Provider's right to retain copies for archival and legal purposes.

Liability, Termination & Governing Law

Limitation of Liability: Except for willful misconduct or gross negligence, neither party will be liable to the other for consequential, incidental, special or punitive damages. The total aggregate liability of either party for any claim arising out of this engagement will not exceed the fees paid to Service Provider under this Bid for the services giving rise to the claim.
